Reglamentación de la Ley de Promoción de la Economía del Conocimiento

El 21 de diciembre de 2020 se publicó en el Boletín Oficial el Decreto Nº 1034/2020 (el “Decreto”) que reglamenta la Ley Nº 27.506 y su modificatoria sobre “Régimen de Promoción de la Economía del Conocimiento” (la “Ley”).

Entre las novedades introducidas por el Decreto, destacamos las siguientes:

1. El Decreto provee algunas pautas interpretativas, pero en definitiva delega en la Autoridad de Aplicación (ENACOM) la precisión del alcance de las actividades y rubros comprendidos en el régimen, así como los requisitos que establece la Ley en su artículo 4 para la inscripción en el Registro Nacional de Beneficiarios del Régimen de Promoción de la Economía del Conocimiento. 

2. Se fijan criterios para acreditar el cumplimiento del mantenimiento o incremento de nómina de personal, y los criterios para determinar si luego de la inscripción se reduce la plantilla de personal.

3. Se fija en 70% (el máximo fijado por la Ley) el porcentaje de las contribuciones patronales que los beneficiarios podrán convertir en un bono de crédito fiscal intransferible.

4. Se agregan algunos detalles (aunque de poca trascendencia) sobre el régimen informativo al que estarán sometidos los beneficiarios.

5. Se establece que en el caso de un proceso de reorganización societaria, los beneficios del régimen solo podrán ser transferidos a una persona jurídica. 

6. Se fijan los montos que deberán aportar los beneficiarios al Fondo Fiduciario para la Promoción de Economía del Conocimiento (“FONPEC”) según las categorías que preveía la Ley.

7. Se definen las funciones y atribuciones de la Autoridad de Aplicación  y del Comité Directivo del FONPEC.

Regulation of the Regime of the Promotion of the Knowledge-Driven Economy

On December 21, 2020, Decree No. 1034/2020 *the “Decree”) was published in the Official Gazette, approving the regulation of the Law No. 27,506 on the Regime of the Promotion of the Knowledge-Driven Economy (the “Law”).

Among the news of the Decree, we highlight the following:

1. The Decree provides some interpretative guidelines, but ultimately delegates to the Enforcement Authority (ENACOM) the precision of the scope of the activities included in the regime, as well as the requirements established by the Law in Article 4 for registration in the National Registry of Beneficiaries of the Regime of the Promotion of the Knowledge-Driven Economy.

2. It sets criteria to prove compliance with the maintenance or increase in the personnel payroll, and criteria to determine whether after enrollment the staff is reduced.

3. It sets the percentage of employer contributions that the beneficiaries may convert into a non-transferable tax credit bond 70% (the maximum set by the Law).

4. It adds some details (although of little importance) about the information regime to which the beneficiaries will be subject.

5. It establishes that in the case of a corporate reorganization process, the benefits of the regime may only be transferred to one legal entity.

6. It sets the amounts that the beneficiaries must contribute to the Trust Fund for the Promotion of the Knowledge-Driven Economy (“FONPEC”) according to the categories provided by the Law.

7. It defines the functions and attributions of the Enforcement Authority and the Directive Committee of the FONPEC.
