Pérez Alati, Grondona, Benites & Arntsen advised Evonik Metilatos S.A. (“Evonik”) on the acquisition of 100% of Novachem S.R.L. (“Novachem”).
Novachem is a company that researches, develops and commercializes biotechnological, natural and sustainable active ingredients for the cosmetics industry.
Through this acquisition, Evonik will enhance its portfolio of system solutions with a strong and innovative portfolio of biotechnological, natural and sustainable cosmetic active ingredients with scientifically proven claims.
In addition, a guaranty trust, in which TMF Trust Company (Argentina) S.A. acts in its capacity as trustee and not in its personal capacity, was established as a guaranty of certain obligations and liabilities assumed by the sellers vis-a-vis Evonik in the quota purchase agreement.
