Pérez Alati, Grondona, Benites & Arntsen advised Mirgor S.A.C.I.F.I.A. (“Mirgor”) in the creation of the global program for the issuance for a maximum outstanding nominal value of up to USD 300,000,000 (the “Program”). Moreover, Pérez Alati, Grondona, Benites & Arntsen advised on the inaugural issuance of Mirgor's notes, concluded on July 30, 2024, which were issued in the Argentine capital markets under the Program, in two classes: (i) class I notes (the “Class I Notes”); and (ii) class II notes (the “Class II Notes” and together with the Class I Notes, the “Notes”).
Mirgor is a company with more than 40 years of experience, which covers different industries in Argentina: automotive, consumer electronics and telephony, retail, services, agriculture and livestock, steel trading, among others, highlighting in the manufacture of air conditioning equipment in the automotive industry; in the manufacture, production and commercialization of cell phones and televisions in the white goods industry; the provision of logistic and technical services and the performance of export operations related to the agricultural industry.
Class I Notes were issued for a total aggregate amount of ARS11,045,000,000, are denominated and payable in Pesos, with a floating interest rate equivalent to the Private Badlar plus a margin of 6.3%, maturing on July 30, 2025.
Class II Notes were issued for a total aggregate amount of USD 37,381,034, are denominated in US Dollars and payable in ARS at the Applicable Exchange Rate, at a fixed annual rate of 3.75%, maturing on January 30, 2026.
