On August 26, 2024, Tarjeta Naranja S.A.U. (“Tarjeta Naranja”) issued its LXII Class simple, non-convertible, unsecured notes with a nominal value of AR$ 30,000,000,000 (Argentine Pesos thirty billion) Notes (the “LXII Class Notes”). The issuance was carried out under the Frequent Issuer Regime established in Section VIII, Chapter V, Title II of the regulations of the National Securities Commission (Comisión Nacional de Valores).
The LXII Class Notes, which will mature on May 26, 2025, will accrue interest at a variable rate, which will be the sum of the Badlar Private Rate plus a spread of 5.5% per annum. The principal will be amortized in a single payment on its maturity date.
The LXII Class Notes have been locally rated “A1+(arg)” by FIX SCR S.A. Additionally, they have been admitted for listing on Bolsas y Mercados Argentinos S.A. and authorized for trading on the Mercado Abierto Electrónico S.A.
In the issuance of the LXII Class Notes, Banco de Galicia y Buenos Aires S.A.U. acted as organizer and placement agent, while Banco Santander Argentina S.A., Banco Patagonia S.A., Nuevo Banco de Santa Fe S.A., Banco Comafi S.A., and Macro Securities S.A.U. acted as placement agents (the “Placement Agents”).
