Pérez Alati, Grondona, Benites & Arntsen advised Allaria S.A., BACS Banco de Crédito y Securitización S.A., Balanz Capital Valores S.A.U., Banco Hipotecario S.A., Banco Santander Argentina S.A., Banco Patagonia S.A., Cocos Capital S.A., Facimex Valores S.A., Macro Securities S.A.U. and Puente Hnos S.A., as placement agents (the “Placement Agents”) of the Series No. 11 Notes (“Series No. 11”) and Series No. 12 Notes (“Series No. 12” and, together with Series No. 11, the “Notes”), issued by Banco Hipotecario Sociedad Anónima (“Banco Hipotecario”) under its Frequent Issuer Register for up to US$ 200,000,000 (United States Dollars two hundred million) (or its equivalent in other currencies or units of value). .
On November 20, 2025, Banco Hipotecario successfully completed the placement and issuance of the Series No. 11 Notes for an aggregate amount of ARS 33,784,039,169 (Argentine Pesos thirty-three billion seven hundred eighty-four million thirty-nine thousand one hundred sixty-nine), maturing on November 20, 2026, bearing a variable interest rate of 3.5%, and issued at 100% of face value. Of such amount, ARS 15,762,770,150 (Argentine Pesos fifteen billion seven hundred sixty-two million seven hundred seventy thousand one hundred fifty) will be integrated in kind through the delivery of the Series No. 8 Notes.
On the same date, Banco Hipotecario also completed the placement and issuance of the Series No. 12 Notes, for an aggregate amount of US$ 34,407,562 (United States Dollars thirty-four million four hundred seven thousand five hundred sixty-two), which will bear a fixed interest rate of 6.00%, at an issuance price of 100% of face value, and will mature on November 20, 2026.
The offer was directed to the local market, and the Notes have been authorized for listing on Bolsas y Mercados Argentinos S.A. and for negotiation on A3 Mercados S.A.
