La CNV reformó integralmente el régimen de transparencia en la Oferta Pública y reestructuró el Registro de Idóneos

Por medio de la Resolución General N° 1162/2026, vigente a partir del 21 de agosto de 2026, la Comisión Nacional de Valores (la “CNV”) sustituyó de manera integral el Título XII de las Normas de la CNV (N.T. 2013 y mod.).

En materia de Hechos Relevantes, se reestructuraron los supuestos de información obligatoria, elevándose del 10% al 15% los umbrales que obligan a informar operaciones de enajenación de activos fijos, pérdidas, gravámenes, avales y fianzas, computados sobre el último estado contable o financiero (anual o intermedio). De este modo, el régimen se concentra en hechos de mayor significatividad económica y se reduce la carga de reporte sobre operaciones de menor cuantía. Asimismo, se incorporaron nuevos supuestos vinculados con situaciones que puedan afectar significativamente la capacidad de pago de los valores negociables y con aspectos relativos a los CEDEAR y CEVA.

Respecto del Registro de Idóneos, se actualizó el régimen del examen de idoneidad, disponiéndose la publicidad permanente de las preguntas y respuestas, exenciones totales y parciales por certificaciones internacionales y maestrías o doctorados, y una vigencia de dos años de la aprobación del examen a los efectos de la inscripción. Adicionalmente, se incorporó la posibilidad de acreditar la idoneidad por trayectoria profesional, mediante la acreditación de al menos cinco años continuos en cargos o funciones de responsabilidad relevante en entidades fiscalizadas por la CNV.

En cuanto a los deberes de conducta, se fortalecieron los deberes de reserva, lealtad y diligencia. El deber de reserva —que alcanza a directores, administradores, gerentes, síndicos, miembros del consejo de vigilancia, accionistas controlantes y profesionales intervinientes de las entidades autorizadas a la oferta pública—se extendió a las Emisoras, a los colocadores y a los demás Agentes que intervengan en colocaciones primarias, precisando su aplicación, tanto respecto de operaciones primarias como secundarias, y se amplió el deber de colaboración a los procesos de análisis y fiscalización, aún cuando no se encuentren en etapa de investigación. Asimismo, se incorporó la prohibición expresa de intervenir en operaciones sobre valores negociables —primarias o secundarias — cuando la persona se encuentre en una situación de conflicto de interés.

Finalmente, se delimitó la obligación de informar tenencias accionarias a los directores y administradores, gerentes, síndicos y miembros del consejo de vigilancia (titulares y suplentes) y los accionistas controlantes de las emisoras que realizan oferta pública de acciones, unificando los plazos de presentación mediante la Autopista de Información Financiera (AIF) en 15 días hábiles, y se simplificó el régimen informativo sobre la independencia de los integrantes de los órganos de administración y fiscalización.


La CNV simplificó el procedimiento de modificación de los Reglamentos de Gestión de Fondos Comunes de Inversión

Por medio de la Resolución General N° 1163/2026, publicada en el Boletín Oficial el 20 de agosto de 2026, la Comisión Nacional de Valores (la “CNV”) modificó el Título V de las Normas de la CNV (N.T. 2013 y mod.), relativo a los Fondos Comunes de Inversión (“FCI”).

En cuanto al procedimiento de modificación del reglamento de gestión de los FCI Abiertos (“FCIA”), se prescinde de la confección de adendas y de la consecuente elaboración de textos ordenados, disponiéndose el reemplazo íntegro del texto vigente por el nuevo texto completo, que deberá incorporarse mediante el formulario Reglamento de Gestión de la Autopista de Información Financiera (AIF). La modificación opera sin requerir la autorización previa o posterior de la CNV —sin perjuicio de sus facultades de fiscalización—, debiendo remitirse el nuevo texto completo, las actas de directorio o de delegados de la Sociedad Gerente y la Sociedad Depositaria aprobatorias, y el Hecho Relevante FCIA que detalle las reformas introducidas a los fines de su trazabilidad. Quedan exceptuados de este régimen los FCIA con estructura de Exchange Traded Funds (ETF), cuya reforma del reglamento de gestión o de prospecto continúa sujeta a la autorización previa de la CNV.

Cuando la reforma tenga por objeto la sustitución de la Sociedad Gerente o de la Sociedad Depositaria, la modificación de los objetivos y política de inversión o de la moneda del FCI, el aumento del tope de honorarios, gastos o comisiones, o la incorporación de la cláusula de rescate automático, no se cobrará a los cuotapartistas la comisión de rescate durante un plazo de cinco hábiles desde la publicación del nuevo texto, ni se aplicarán las modificaciones hasta transcurrido dicho plazo.

Asimismo, se sustituyó el artículo 31 bis relativo a la Ficha Única de los FCIA, estableciendo que las Sociedades Gerentes deberán elaborar y difundir en su sitio web dentro de los primeros 10 días hábiles de cada mes, y deberá ser redactada en lenguaje claro no técnico y estructurada de forma tal que permita el cotejo entre fondos de una misma categoría en materia de costos, rendimiento histórico, composición de cartera e indicadores de riesgo.

La norma entrará en vigencia a los 45 días hábiles contados a partir del día siguiente al de su publicación en el Boletín Oficial (es decir, el 26 de octubre de 2026).

CNV comprehensively reformed the transparency regime in the Public Offering and restructured the Registry of Qualified Persons

By means of General Resolution No. 1162/2026, effective as of August 21, 2026, the National Securities Commission (the “CNV”) comprehensively replaced Title XII of the CNV Rules (N.T. 2013, as amended).


As to Material Facts, the mandatory-reporting cases were restructured, raising from 10% to 15% the thresholds that trigger the duty to report disposals of fixed assets, losses, liens, guarantees and sureties, calculated on the latest annual or interim financial statements. In this way, the regime is focused on facts of greater economic significance, reducing the reporting burden for lower-value transactions. New cases were also added in connection with situations that may materially affect the payment capacity of the securities, and with matters relating to CEDEAR and CEVA.

With respect to the Registry of Qualified Persons, the proficiency-exam regime was updated, providing for the permanent publication of the exam questions and answers, total and partial exemptions for international certifications and master's or doctoral degrees, and a 2-year validity of the exam approval for registration purposes. In addition, a new pathway to accredit proficiency through professional track record was introduced, requiring at least five continuous years in positions or functions of relevant responsibility in entities supervised by the CNV.

As regards conduct duties, the duties of confidentiality, loyalty and diligence were strengthened. The confidentiality duty —which covers directors, managers, officers, statutory auditors, members of the supervisory board, controlling shareholders and intervening professionals of the entities authorized to make a public offering— was extended to Issuers, placement agents and other Agents intervening in primary placements, specifying its application in respect of both primary and secondary transactions, and the duty to cooperate was broadened to analysis and oversight proceedings, even where an investigation stage has not been reached. An express prohibition was also introduced against intervening in transactions involving securities —whether primary or secondary— where the person is in a conflict-of-interest situation.

Finally, the duty to report shareholdings was limited to directors and managers, officers, statutory auditors and members of the supervisory board (whether acting or alternate) and controlling shareholders of issuers that make a public offering of shares, unifying the Financial Information Highway (AIF) filing terms at 15 business days, and the reporting regime on the independence of the members of the administration and oversight bodies was simplified.


CNV simplified the procedure for amending the Management Regulations of Mutual Funds

By means of General Resolution No. 1163/2026 , published in the Official Gazette on August 20, 2026, the National Securities Commission (the “CNV”) amended Title V of the CNV Rules (N.T. 2013, as amended), governing Mutual Funds (“MF”).

As regards the procedure for amending the management regulations of Open-End Mutual Funds (“OEMF”), the preparation of addenda and the resulting restated texts is dispensed with, providing instead for the full replacement of the text in force by the new complete text, which must be uploaded through the Management Regulations form of the Financial Information Highway (AIF). The amendment operates without requiring the prior or subsequent authorization of the CNV —without prejudice to its supervisory powers—; the new complete text, the resolutions of the board of directors or delegates of the Management Company and the Depositary Company approving it, and the OEMF Material Fact detailing the amendments introduced (for traceability purposes) must be filed. OEMF structured as Exchange Traded Funds (ETF) are excluded from this regime, and amendments to their management regulations or prospectus remain subject to the prior authorization of the CNV.

Where the amendment seeks to replace the Management Company or the Depositary Company, to modify the investment objectives and policy or the currency of the MF, to increase the cap on fees, expenses or commissions, or to include the automatic redemption clause, no redemption fee will be charged to unitholders for a period of five business days as from the publication of the new text, and the amendments will not apply until such period has elapsed.

Likewise, Section 31 bis on the Unified Fact Sheet of the OEMF was replaced; Management Companies must prepare and publish it on their website within the first 10 business days of each month, drafted in clear, non-technical language and structured so as to allow comparison among funds of the same category in terms of costs, historical performance, portfolio composition and risk indicators.

The regulation will enter into force 45 business days as from the day following its publication in the Official Gazette (i.e., October 26, 2026).
