UIF regulates the Fiscal Innocence regime and implements a simplified due diligence framework for incoming funds

By means of Resolution No. 144/2026 (the “Resolution”), effective as of November 4, 2026, the Financial Information Unit (the “UIF”) established a mandatory “Favorable Background” and “Special Simplified Due Diligence” regime applicable to transactions involving the inflow of funds and assets into the formal financial system carried out by individuals and undivided estates enrolled in the Simplified Income Tax Regime (Fiscal Innocence Law No. 27,799).

Pursuant to the Resolution, the status of being enrolled in the Simplified Income Tax Regime shall mandatorily constitute a favorable background and a risk-mitigating factor within the customer's transactional profile for all Obligated Entities under Law No. 25,246.

Besides, for transactions that do not exceed in the aggregate per calendar year the threshold of simple tax evasion set forth in the Criminal Tax Regime, Obligated Entities shall apply Special Simplified Due Diligence measures, being exempt from requiring justifications regarding historical savings capacity or additional supporting documentation on the origin of funds, provided there are no alerts related to international sanctions lists or terrorism.

Furthermore, it is expressly clarified that the holding of foreign currency in cash does not, by itself, constitute an indication of illegality, and entities are granted a term until January 3, 2027, to adapt their prevention manuals, internal policies, and risk matrices.

IGJ adjusts information regimes and corporate supervision

By means of General Resolution No. 12/2026 (the “Resolution”), published on November 4, 2026, in the Official Gazette, the Public Registry of Commerce of the City of Buenos Aires (Inspección General de Justicia, “IGJ”), introduced specific amendments to several articles of General Resolution IGJ No. 15/2024 (general regulatory framework), aimed at streamlining registration procedures, optimizing periodic information regimes, and aligning corporate oversight standards with current regulatory guidelines.

Pursuant to the Resolution:

  • A risk-based control and verification framework is adopted, whereby the IGJ will focus inspections where inconsistencies or alerts are detected.
  • Requirements for identifying and updating Ultimate Beneficial Owners (“UBOs”) and persons exercising effective control are strengthened, expressly extending to fiduciaries and trusts, while preserving the confidentiality of filed disclosures and supporting documentation, which shall remain confidential and will not form part of the public record file.
  • Regarding the origin of funds, the sworn declaration requirement for corporate incorporations and capital increases is focused on cash contributions exceeding regulatory thresholds that are not channeled through the banking system (maintaining the requirements for civil associations and foundations), and the filing deadline for the annual compliance sworn declaration is unified for all covered entities to the last business day of April.
The Resolution will enter into force 30 calendar days following its publication in the Official Gazette (i.e., on December 4, 2026), granting registered entities and fiduciaries a 180-day grace period from said date to update information regarding politically exposed persons, UBOs, and trusts without incurring penalties.
