Modificaciones previstas en las publicaciones de constitución y variación del capital social.

El 26 de febrero del 2020 se publicó en el Boletín Oficial la Resolución General N° 3/2020 de la Inspección General de Justicia (en adelante, respectivamente, la “Resolución” y la “IGJ”).

Mediante la Resolución se establecieron ciertas modificaciones relativas a la información provista en las publicaciones del Boletín Oficial. En este sentido, tanto las sociedades por acciones como las sociedades de responsabilidad limitada, deberán incluir los siguientes datos en las publicaciones efectuadas en el marco de su constitución y/o posterior aumento o reducción de capital social:

  1. Cantidad total de cuotas o acciones suscriptas por cada socio, con indicación de sus características de emisión, ya sea por suscripción efectiva de acciones o cuotas y/o emisión de cuotas o acciones liberadas por capitalización de ganancias o reservas libres;
  2. Respecto a las variaciones de capital social, además de cumplir con lo indicado en el punto (1), se deberán individualizar las acciones o cuotas de quienes sean socios por cesión de las mismas.

A su vez, la Resolución prevé modificaciones respecto a las publicaciones efectuadas por sociedades por acciones simplificadas (“SAS”). En este sentido, se deberán incluir los siguientes datos en los avisos correspondientes a la constitución y/o variación de capital:

  1. Clases de acciones emitidas, modalidades de emisión y demás características, y en su caso, régimen de aumento; 
  2. Información relativa a la suscripción del capital por cada socio, monto, su forma de integración, y si correspondiere, el plazo para el pago del saldo adeudado;
  3. En el caso de reducciones de capital social, se deberá publicar el detalle de las acciones de las que quede titular cada socio. 

Amendments regarding the publications of incorporation and share capital variation.

On February 26, 2020, the General Resolution No. 3/2020 of the Public Registry of the City of Buenos Aires (hereinafter, respectively, the “Resolution” and the “IGJ”) was published in the Official Gazette.

The Resolution established some amendments regarding the information provided in the publications made in the Official Gazette. In this sense, both local corporations and limited liability companies, must include the following information in the publications related to their incorporation and/o share capital variation:

  1. Total amount of quotas or shares subscribed by each shareholder, and their issuance features, either by effective subscription, and/or issuance of quotas or shares already paid in through capitalization of the companies’ profits or free reserves;
  2. In addition to the aforementioned item and regarding the share capital variation, it is also required to identify the share or quota-holders that acquired that position due to the previous assignment of their shares or quotas.

Furthermore, the Resolution establishes amendments regarding the publications of simplified stock companies (“SAS”). In this sense, the following information must be included in the publications related to their incorporation and/or share capital variation:

  1. Type of shares issued, method of issuance and further features, and if applicable, the regime provided for share capital increase;
  2. Information related to the shares subscribed by each shareholder, amount, means of payment, and if applicable, the term of payment of the balance;
  3. In case of capital reduction, a detail of the consequent holdings of each shareholder must also be published.
