Class LXIV notes issued in three series by Tarjeta Naranja

On April 29, 2025, Tarjeta Naranja S.A.U. ("Tarjeta Naranja") issued its Class LXIV simple notes, non-convertible, into shares, unsecured, in three series, reaching, in total, the maximum amount of US$ 150,000,000, under the Frequent Issuer Regime established in Section VIII, Chapter V, Title II of the Rules of the Argentine National Securities Commission (“CNV”).

The class LXIV series I notes, were issued for a nominal amount of US$32,684,639, denominated, subscribed, and payable in U.S. Dollars in the Republic of Argentina, at a fixed annual nominal rate of 7.90%, payable quarterly, and the principal will be repaid in one payment on the Series I Maturity Date, April 30, 2027 (the “Series I Notes”).

The class LXIV series II notes, were issued for a nominal amount of US$45,000,000, denominated, subscribed, and payable in U.S. Dollars abroad. The principal will be repaid in one payment equal to 100% of the total principal on the Series II Maturity Date, October 31, 2025 (the “Series II Notes”).

The class LXIV series III notes were issued for a nominal amount of ARS 85,072,997,708, denominated in Argentine Pesos, to be paid in cash in Pesos and/or in kind through the delivery of Eligible Notes, payable in Pesos, at a variable rate composed of the Private TAMAR rate plus a margin of 4.50% per annum, payable quarterly, and the principal will be repaid in one payment on the Series III Maturity Date, April 30, 2026 (the “Series III Notes”, and together with the Series I Notes and Series II Notes, the “Class LXIV Notes”).

Series I Notes were rated locally as “AA(arg)” while the Series II Notes and Series III Notes have been locally rated as “A1+(arg)” by FIX SCR S.A., a local rating agency affiliated with Fitch Ratings (“Fix”). The notes were also listed on Bolsas y Mercados Argentinos S.A. and authorized for trading on A3 Mercados.

For the issuance of the Class LXIV Notes, Banco de Galicia y Buenos Aires S.A.U. acted as organizer and placement agent, while Banco Santander Argentina S.A., Balanz Capital Valores S.A.U., Macro Securities S.A.U., Banco Patagonia S.A., and Nuevo Banco de Santa Fe S.A. acted as placement agents (the “Placement Agents”).
