Ángel Estrada y Compañía S.A. ("AESA", or the "Issuer"), a leading Argentine manufacturer of school and office stationery products, successfully completed the placement and issuance in the local market of (i) Series 5 Notes for an aggregate amount of ARS$ 282,482,755 (the "Notes Series 5"); and (ii) Series 6 Notes for an aggregate amount of USD$ 642,142 (the "Notes Series 6", and together with the Notes Series 5, the "Notes").
AESA was advised by Marval O' Farrell Mairal; while Cohen S.A., Banco Santander Río S.A., BBVA Banco Francés S.A., Banco de Galicia y Buenos Aires S.A.U. and Banco de la Provincia de Buenos Aires, which acted as arrangers and placement agents (collectively, the "Arrangers"); and Provincia Bursátil S.A., Nación Bursátil S.A. and Puente Hnos S.A., which acted as placement agents (together with the Arrangers, the "Placement Agents"), were assessed by Pérez Alati, Grondona, Benites & Arntsen.
The Notes were issued on March 16, 2020, under the Non-Convertible Simple Notes Program for up to USD$ 50,000,000 (or its equivalent in other currencies) (the "Program"). Notes Series 5, denominated and payable in Pesos, bear a variable interest rate corresponding to the sum of the ‘Badlar Privada’ Rate and a 8 % Cut-off Margin; while Notes Series 6, denominated in USD and payable in Pesos, will bear a fixed interest annual rate of 9.50%. The Notes will mature on March 11, 2021.
