On November 26, 2024, Tarjeta Naranja S.A.U. ("Tarjeta Naranja") issued class LXIII simple notes, non-convertible into shares, unsecured, denominated, subscribed, and payable in U.S. Dollars in Argentina, for a total principal amount of US$179,163,334 (the "Class LXIII Notes"). The issuance was carried out under the Frequent Issuer Regime established in Section VIII, Chapter V, Title II of the Rules of the Argentine National Securities Commission (“CNV”).
The Class LXIII Notes, maturing on November 28, 2025, will accrue interest at a fixed rate of 6.25% p.a., with quarterly payments, and will amortize 100% of the principal in two installments: (i) the first payment will represent 50% of the principal and will be made on August 29, 2025; and (ii) the second payment will represent the remaining 50% of the principal and will be made on the Maturity Date, November 28, 2025.
The Class LXIII Notes were rated locally as "A1+(arg)" by FIX SCR S.A. They were also listed on Bolsas y Mercados Argentinos S.A. and authorized for trading on Mercado Abierto Electrónico S.A.
For the issuance of the Class LXIII Notes, Banco de Galicia y Buenos Aires S.A.U. acted as organizer and placement agent, while Banco Santander Argentina S.A., Inviu S.A.U., and Balanz Capital Valores S.A.U. acted as placement agents (the "Placement Agents").
