Creación del Hub de Innovación e Inclusión Financiera

Con fecha 13 de abril de 2022, la Comisión Nacional de Valores (“CNV”) dictó la Resolución General N° 926/2022 (la “Resolución”), a través de la cual reglamenta el Hub de Innovación e Inclusión Financiera (el “Hub”).
 
En este sentido, la Resolución indica que el objetivo del Hub es apoyar el desarrollo de soluciones innovadoras en FinTech y áreas relacionadas con el mercado de capitales a través de la cooperación y el entendimiento mutuo. Su finalidad es identificar y analizar los elementos y criterios a considerar para el desarrollo y la implementación de estrategias de regulación y supervisión financiera de tecnologías innovadoras, para afrontar y prever los nuevos riesgos para los objetivos regulatorios.  El Hub estará destinado a todas las entidades con proyectos de tecnologías de servicios y/o productos financieros innovadores que estén o puedan estar regulados por CNV, residan en la República Argentina y pretendan desarrollar su actividad, de manera no exclusiva, en el país.

Como consecuencia, y en línea con lo manifestado por la CNV en el evento de lanzamiento del Hub que tuvo lugar el 13 de abril de 2022, la CNV planea lanzar un sandbox regulatorio en el 2023, similar al del modelo implementado por España.

Asimismo, la Resolución detalla: (i) acciones y criterios de elegibilidad; (ii) solicitud de participación; y (iii) condiciones de participación. 

La Resolución entró en vigencia el día 19 de abril de 2022.

Creation of the Financial Innovation and Inclusion Hub

On April 13, 2022, the National Securities Commission (“CNV”, after its Spanish acronym) issued General Resolution No. 926/2022 (the “Resolution"), establishing the regulatory framework of the Financial Innovation and Inclusion Hub (the “Hub”).

In this sense, the Resolution determines that the Hub’s purpose is to support the development of innovative FinTech solutions in areas related with the capital markets, through mutual cooperation and understanding. As a result, the Hub aims to identify and analyze the required elements and criteria to implement financial regulation and supervision strategies related with innovative technologies, in order to face and prevent the new risks imposed on the regulations. The Hub is focused on all entities with projects involving technology services and/or innovative financial products that are or may be under the scope of the CNV, located in Argentina and that pretend to develop their business, in a non exclusive manner, within the country.

As a result, and in accordance with the statements made by the CNV in the Hub’s launching event which took place on April 13, 2022, the CNV plans to deploy a regulatory sandbox by 2023, in similar terms to the one implemented by Spain.

Moreover, the Resolution establishes: (i) procedure and criteria for eligibility; (ii) submission form in order to participate in the Hub; and (iii) conditions of participation.

The Resolution became effective on April 19, 2022.

Proceso ejecutivo y firma electrónica: “Afluenta S.A. c/ Oliva, Josefina Belén s/ cobro ejecutivo”

Con fecha 13 de abril de 2022, la Sala III de la Cámara de Apelaciones en lo Civil y Comercial de Lomas de Zamora en la Provincia de Buenos Aires  (la “Cámara”) dictó una sentencia interlocutoria en el marco de los autos “Afluenta S.A. c/ Oliva, Josefina Belén s/ cobro ejecutivo” en virtud del cual se reconoció la validez de un documento firmado electrónicamente –en contraposición a la firma digital– a los efectos de la preparación de la vía ejecutiva en el marco de un proceso ejecutivo.

En particular, la Cámara sostuvo que –atento al espíritu de la Ley de Firma Digital N° 25.506, al principio de libertad de formas consagrado en el Código Civil y Comercial de la Nación y en pos de la recepción de las nuevas tecnologías disponibles– corresponde dejar sin efecto el pronunciamiento del a quo que consideró que un documento digital suscripto con firma electrónica resultaba inhábil para la preparación de la vía ejecutiva y que le correspondía al accionante ocurrir por la vía ordinaria a los efectos de reconocer la firma del documento. 

En tal sentido, la Cámara determinó que en el caso “...la solución se dirime requiriéndole al firmante que indique si el instrumento cuenta o no con su autoría…” mas no rechazando la preparación de la vía ejecutiva, toda vez que la Ley de Firma Digital N° 25.506 prevé que la acreditación de la validez de la firma electrónica por quién la invoca acontece  en el caso de que ésta sea desconocida por la contraparte.

Executive proceedings and electronic signature: “Afluenta S.A. v. Oliva, Josefina Belén in re executive collection”

On April 13, 2022, the Third Court of the Civil and Commercial Court of Appeals of Lomas de Zamora in the Province of Buenos Aires (the “Court”) issued an interlocutory judgment in the docket “Afluenta S.A. v. Oliva, Josefina Belén in re executive collection”, whereby the Court recognized the effectiveness of an electronically signed document –as opposed to a digitally signed one- for the purposes of the preparation of an executive proceedings within an executive process. 

In particular, the Court held that –in accordance with the purposes of the Digital Signature Law No. 25,506, the freedom of forms enshrined in the Argentine Civil and Commercial Code and regarding to the adoption of the new technologies– it is appropriate to revoke the decision of the a quo which considered that a digital document signed with an electronic signature was unfit for the preparation of the executive proceedings and that it was up to the plaintiff to proceed by an ordinary process in order to recognize the document’s signature .

In this sense, the Court determined that “...the solution is settled by requesting the signatory to indicate whether the document is signed by him/her or not…” but not rejecting the preparation of the executive proceedings, since the Digital Signature Law No. 25,506 provides that the need for proving the validity of the electronic signature occurs in the event that the signature is denied by the counterparty.
