Actualización del valor de la Unidad Móvil de la Ley N° 27.442
El 2 de febrero de 2022 se publicó en el Boletín Oficial la Resolución N° 35/2022 por medio de la cual la Secretaría de Comercio Interior actualizó el valor de la Unidad Móvil (“UM”) definida en el artículo 85 de la Ley N° 27.442 de Defensa de la Competencia (la “Ley”).
El valor de la UM, que se actualiza en forma anual utilizando el Índice de Precios al Consumidor que publica el Instituto Nacional de Estadísticas y Censos, será de $83,45 a partir del 3 de febrero de 2022 (anteriormente era de $55,29).
A raíz de ello, se elevan automáticamente los umbrales de notificación de las operaciones de concentración económica y los montos de multas por notificación tardía y por la comisión de conductas anticompetitivas dispuestos por la Ley así como las multas por infracciones al régimen de Lealtad Comercial y Competencia Desleal (DNU N° 274/2019).

Update of the value of the Mobile Unit of the Law No. 27,442
On February 2, 2022, Resolution No. 35/2022 was published in the Official Gazette, by means of which the Secretariat of Internal Trade updated the value of the Mobile Unit (“MU”) defined in section 85 of Antitrust Law No. 27,442 (the “Law”).
The value of the MU, which is updated annually using the Consumer Price Index published by the Instituto Nacional de Estadísticas y Censos, will be AR$ 83.45 as of February 23, 2022 (previously it was AR$ 55.29).
As a result, the thresholds for notification of economic concentration transactions and the amounts of the fines for late notification and for the commission of anticompetitive conduct provided by the Law as well as the fines that can be imposed for the infringement of the Fair Trade and Unfair Competition regime (DNU No. 274/2019) are automatically raised.

Plazo máximo de duración de sociedades
El 1 de febrero de 2022 se publicó en el Boletín Oficial y entró en vigencia la Resolución General N° 1/2022 de la Inspección General de Justicia (la “Resolución” y la “IGJ”, respectivamente).
La Resolución fija el plazo máximo de duración de sociedades en 30 años, contados desde su inscripción en la IGJ.
La Resolución es aplicable para las sociedades constituidas con posterioridad a su publicación en el Boletín Oficial.

Maximum term of duration of companies
On February 1, 2022, the General Resolution No. 1/2022 of the Public Registry of Commerce of the City of Buenos Aires (the “Resolution” and the “IGJ”, respectively) was published in the Official Gazette and became effective.
The Resolution sets the maximum term of duration of companies at 30 years, as from the date of their registration with the IGJ.
The Resolution is applicable to companies incorporated after its publication in the Official Gazette.

Convocatoria a Sesiones Extraordinarias del Honorable Congreso de la Nación
El 26 de enero de 2022 se publicó en el Boletín Oficial de la Nación el Decreto N° 51/2022, por el cual el Poder Ejecutivo Nacional convocó al Congreso Nacional a Sesiones Extraordinarias, para el mes de febrero del 2022.
Los asuntos comprendidos en la convocatoria son los siguientes:
- Aprobación del Consenso Fiscal suscripto por el Poder Ejecutivo Nacional y representantes de las Provincias, en la Ciudad Autónoma de Buenos Aires, el 27 de diciembre de 2021.
- Modificación de la Ley del Consejo de la Magistratura N° 24.937.
- Creación del Parque y Reserva Nacional Ansenuza y Bañados del Río Dulce, en la Provincia de Córdoba.
- Creación del Parque y Reserva Nacional Islote Lobos, en la Provincia de Río Negro.
- Respuesta Integral al VIH, Hepatitis Virales, Otras Infecciones de Transmisión Sexual (ITS) y Tuberculosis (TBC).
- Marco regulatorio de la cadena de producción, industrialización y comercialización de la planta de cannabis, sus semillas y sus productos derivados para uso industrial y/o medicinal, incluyendo la investigación científica, con vistas a satisfacer el mercado local y generar exportaciones.

Call for Extraordinary Sessions of the Federal Congress
On January 26, 2022, Decree No. 51/2022 was published in the Official Gazette, whereby the President called the Congress to Extraordinary Sessions, to take place during the month of February 2022.
The matters covered by the call are the following ones:
- Approval of the Tax General Agreement executed by the Federal Executive Branch and representatives of the Provinces, in Buenos Aires City, on December 27, 2021.
- Amendment of the Judiciary Council Law No. 24,937.
- Creation of the National Park and Reserve named “Ansenuza y Bañados del Río Dulce”, in the Province of Córdoba.
- Creation of the National Park and Reserve named “Islote Lobos”, in the Province of Río Negro.
- Comprehensive Response to HIV, Viral Hepatitis, Other Sexually Transmitted Diseases (STD) and Tuberculosis (TBC).
- Regulatory framework for the chain of production, industrialization and commercialization of the cannabis plant, its seeds and its derivative products for industrial and/or medical use, including scientific research, in pursuit of satisfying the local market and generating exports.

Obligatoriedad del “PASE LIBRE COVID” para el transporte de pasajeros en la Provincia de Buenos Aires
El 27 de enero de 2022 se publicó en el Boletín Oficial de la Provincia de Buenos Aires la Resolución de Firma Conjunta N° 1/2022 del Ministerio de Salud y el Ministerio de Transporte de la Provincia (la “Resolución”), a través de la cual se establece la obligatoriedad del “PASE LIBRE COVID” para el servicio de transporte de pasajeros en la Provincia de Buenos Aires.
La Resolución se aplica a todas las personas mayores de trece años, que utilicen servicios públicos de transporte de pasajeros por automotor, de carácter regular y/o especializado, aledaños a la CABA (de media distancia) y servicios interurbanos y/o rurales de larga distancia.

“PASE LIBRE COVID” ('FREE PASS COVID') is mandatory for the transport of passengers in the Province of Buenos Aires
On January 27, 2022, Joint Resolution No. 1/2022 set by the Ministry of Health and Ministry of Transportation of the Province (the “Resolution”) was published in the Official Gazette of the Province of Buenos Aires.
The Resolution establishes the obligation to any older of thirteen years old to exhibit the “PASE LIBRE COVID” certificate as a condition for using automobile public passenger transportation services, whether regular and/or specialized, nearby the City of Buenos Aires (medium distance) and long distance intercity and/or rural services.
