Modificaciones al régimen legal de Warrants y Certificados de Depósitos 

A través del Decreto N° 640/2024 del 18 de julio de 2024 (el “Decreto”), el Poder Ejecutivo Nacional estableció modificaciones al régimen legal aplicable a la emisión de warrants y certificados de depósito (conjuntamente, “Warrants”), originalmente regulado por la Ley N° 9643 y demás normas modificatorias y complementarias.

En tal sentido, el Decreto dispone, entre otros,  que: 

  • la Subsecretaría de Mercados Agropecuarios y Negociaciones Internacionales, en su carácter de autoridad de aplicación, administrará el Registro de Warranteras (el “Registro”); 
  • los Warrants emitidos por personas humanas o jurídicas que opten por no inscribirse en el Registro tendrán un tratamiento legal idéntico al de aquellos emitidos por empresas inscriptas; 
  • los Warrants emitidos y negociados en algún formato digital deberán distinguir inequívocamente entre aquellos emitidos por entidades inscriptas en el Registro y aquellos emitidos por entidades no inscriptas;
  • los Warrants podrán ser expedidos y negociados de manera electrónica en plataformas propias del emisor o de un tercero (las “Plataformas”). 
  • las Plataformas: (i) podrán ser públicas o privadas, constituidas a tal efecto o las utilizadas actualmente para ese u otros fines, incluyendo entidades desreguladas o entidades reguladas por la Comisión Nacional de Valores y demás instituciones públicas; y (ii) podrán utilizar cualquier forma de firma digital para identificar a las partes y la aceptación de las transacciones.
  • toda persona humana o jurídica debe custodiar la mercadería almacenada y ello exige contratar un seguro para su resguardo, caso contrario, será pasible de las responsabilidades en materia civil o penal que pudiere corresponderle;
  • los Warrants podrán estar representados a través de cualquier formato tecnológico que cumpla con las características de nominatividad e identificación indubitable del firmante y que permita su negociación, incluyendo bases de datos centralizadas o distribuidas, criptoactivos, otras formas de tokenización o cualquier otra tecnología que garantice la seguridad y facilidad de las transacciones;
  • los Warrants podrán ser fraccionados para su negociación; y
  • respecto de la negociación de los Warrants realizada en una Plataforma, la persona humana o jurídica emisora deberá poder acceder en todo momento a la información referida a la titularidad y a las transacciones de dichos Warrants.

Modifications to the legal framework applicable to Warrants and Certificates of Deposit

By means of Decree No. 640/2024 dated July 18, 2024 (the “Decree”), the National Executive Branch established modifications to the legal framework applicable to the issuance of warrants and certificates of deposits (jointly, “Warrants”), originally regulated by means of Law No. 9643, as amended and supplemented.

Therefore, the Decree establishes, among others,  that:

  • the Undersecretariat for Agricultural Markets and International Negotiations, in its capacity as enforcement authority, shall administer the Registry of Warranters (“Registry”); 
  • Warrants issued by individuals or legal entities that choose not to be registered in the Registry will be treated in the same way as those issued by registered companies;
  • Warrants issued and traded in any digital format must unambiguously distinguish between those issued by registered entities and those issued by non-registered entities;
  • Warrants may be issued and traded electronically on the issuer's own or  third party's platforms (the “Platforms”);
  • Platforms: (i) may be public or private, constituted for such purpose or those currently used for such or other purposes, including deregulated entities or entities regulated by the Argentine National Securities Commission and other governmental institutions; and (ii) may use any form of digital signature to identify the parties and the acceptance of the transactions; 
  • the individual or legal entity must take custody of the stored goods and that this requires taking out insurance for their safekeeping, otherwise they will be liable for any civil or criminal liability that may correspond to it;
  • Warrants may be represented by any technological format that complies with the characteristics of nominativity and indisputable identification of the signatory and that allows their negotiation, including centralized or distributed databases, crypto assets, other forms of tokenization or any other technology that guarantees the security and ease of transactions;
  • Warrants may be fractioned for trading; and
  • with respect to the trading of Warrants carried out on a Platform, the issuing individual or legal entity shall have access at all times to the information concerning the ownership and transactions of such Warrants.
