Importantes flexibilizaciones en la Ley de Warrants relacionadas con los certificados de depósitos y warrants

A través del Decreto de Necesidad y Urgencia N° 70/2023 (el “DNU”) publicado el 21 de diciembre de 2023 en el Boletín Oficial, el Poder Ejecutivo Nacional decretó derogar y modificar  determinados artículos de la Ley N° 9.643 de Warrants (la “Ley”).

Por consiguiente, se deja sin efecto:

  • la prohibición a las empresas de depósito de llevar a cabo la compraventa de frutos o productos de igual naturaleza que aquellos a los que refieren los certificados de depósito o warrants que emitan (artículo 3 de la Ley);
  • la prohibición de almacenar en un mismo local o en locales contiguos mercaderías susceptibles de alterarse recíprocamente (artículo 4 de la Ley);
  • el procedimiento en caso de pérdida o destrucción del certificado de depósito o warrant (artículo 23 de la Ley);
  • la disposición relativa a vigencia del warrant (artículo 26 de la Ley); y
  • la exoneración del impuesto de patente a los depósitos autorizados para emitir warrants (artículo 29 de la Ley).
Asimismo, la modificación de ciertos artículos de la Ley implica que:
  • ya no se requiere previa autorización del Poder Ejecutivo para emitir certificados de depósitos o warrants, sino que las empresas que así lo deseen, deberán inscribirse en un registro a cargo del Poder Ejecutivo;
  • se posibilita la utilización de documentos electrónicos en reemplazo de cualquier documentación establecida en la Ley, en los términos de los artículos 286 (expresión escrita) y 288 (firma) del Código Civil y Comercial de la Nación;
  • se elimina el requisito de monto mínimo de $500.000 para la emisión de certificados de depósito y warrants, por frutos o productos depositados;
  • se posibilita la utilización de firma electrónica para la emisión del warrant; y 
  • los endosos subsiguientes, así como también las negociaciones, se incluirán en el registro electrónico, también con la posibilidad de utilizar firma electrónica.

Significant Flexibility in Warrants Law related to Depositary Receipts and Warrants

By virtue of Decree of Necessity and Urgency No. 70/2023 (the “Decree”), published on December 21, 2023, in the Official Gazette, the National Executive Branch has decreed the repeal and amendment of specific sections within Law No. 9,643 on Warrants (the “Law”).

Therefore, the following is left without effect:

  • the prohibition preventing depository corporations from engaging in the purchase and sale of fruits or products of similar nature to those covered by the certificates of deposit or warrants issued by them (Section 3 of the Law).
  • the prohibition to store in the same place or in contiguous places goods susceptible to reciprocal alteration (Section 4 of the Law);
  • the proceedings in case of loss or destruction of the certificate of deposit or warrant (Section 23 of the Law);
  • the provision relating to the time validity of the warrant (Section 26 of the Law); and
  • the exoneration of the patent tax on deposits authorised to issue warrants (Section 29 of the Law).
In addition, the modifications of certain Sections of the Law imply that:
  • it is no longer required the prior authorization from the National Executive Branch to issue deposit certificates or warrants, but rather the companies that so wish, must register in a registry in charge of the National Executive Branch;
  • it is made possible the use of electronic documents in replacement of any documentation established in the Law, under the terms of Sections 286 (written expression) and 288 (signature) of the Argentine Civil and Commercial Code;
  • removal of the minimum amount requirement of AR$ 500,000 for the issuance of certificates of deposit and warrants for deposited fruits or products;
  • authorization for the use of electronic signatures in the issuance of warrants; and 
  • subsequent endorsements, as well as negotiations, will be included in the electronic registry, also with the possibility of using electronic signature.
