La Corte Suprema ratificó que la obligación en dólares pactada en un contrato prevalece sobre el artículo 765 CCyC

El 14 de diciembre de 2023, en autos “Recurso de hecho deducido por el codemandado Carlos Enrique Long en la causa S, L A y otro c/ Argenwolf S.A. y otro s/ ejecución hipotecaria”, la Corte Suprema de Justicia de la Nación desestimó la queja por denegación del recurso extraordinario federal interpuesta por Enrique Long. 

Quedó así firme la sentencia de la Sala C de la Cámara Nacional de Apelaciones en lo Civil, la cual confirmó que el pago de una deuda en dólares en su equivalente en pesos al tipo de cambio oficial publicado por el Banco de la Nación Argentina, no refleja el valor de la contraprestación a cargo del deudor, y le ordenó tomar el valor del dólar MEP.

La Sala C tuvo en cuenta que en el contrato de venta de acciones celebrado entre las partes el 2 de octubre de 2014 se estableció que todos los importes serían abonados en dólares estadounidenses,  siendo condición esencial de la operación. Y que los contratantes renunciaron a la acción o teoría de la imprevisión, cualquiera fuere la evolución de la relación de cambio en la moneda argentina ante el dólar estadounidense.

Consideró que el artículo 765 del Código Civil y Comercial de la Nación (“CCyC”), que permite al deudor librarse de una deuda en moneda extranjera dando el equivalente en moneda de curso legal, es objeto de diversas excepciones, siendo la voluntad de las partes una de ellas. 

Debido a que el artículo 765 CCyC no es de orden público, debe reputarse disponible por la voluntad de las partes.

The Supreme Court ratified that the obligation in dollars agreed in a contract prevails over Section 765 CCyC

On December 14, 2023, in case “Recurso de hecho deducido por el codemandado C. E. L. en la causa S, L A y otro c/ Argenwolf S.A. y otro s/ ejecución hipotecaria”, the National Supreme Court dismissed the extraordinary appeal filed by C.E.L., and thus confirmed a ruling of the Civil Court of Appeals, Panel C. 

The ruling confirmed that the payment of a debt in dollars in its equivalent in pesos at the official exchange rate published by the Bank of the Argentine Nation (BNA), does not reflect the real value, and ordered the debtor to consider  the value of the MEP dollar (the dollar exchange rate that can be accessed through the buying and selling of certain Argentine bonds that are quoted both in pesos and dollars).

Panel C considers that in the share sale agreement signed between the parties on October 2, 2014, it was established that all amounts would be paid in US dollars, which was an essential condition of the operation. And that the contracting parties renounced the action or theory of unpredictability, irrespective of the evolution of the exchange rate of the Argentine currency against the US dollar.

Panel C considered that Section 765 of the Civil and Commercial Code of the Nation (“CCyC”, after its Spanish acronym), which allows the debtor to pay a debt in foreign currency by giving the equivalent in legal tender, can be subject to various exceptions, being the intention of the parties one of these exceptions.

Because Section 765 CCyC is not of public order, it must be deemed available by the will of the parties.
