CSJN: La falta de legitimación activa en una acción de clase debe ser resuelta como una excepción de previo y especial pronunciamiento

El 26 de noviembre de 2024 la Corte Suprema de Justicia de la Nación (“CSJN”) revocó una sentencia de la Sala “F” de la Cámara Nacional de Apelaciones en lo Comercial, indicando que la excepción de falta de legitimación activa debe resolverse como previa y especial pronunciamiento. 

La CSJN entendió que:

  • La continuación del trámite colectivo podría generar agravios cuya reparación ulterior resulte muy difícil.
  • Definir si el representante está legitimado o no debe quedar esclarecido al comienzo del pleito.
  • La existencia de un representante con legitimación hace a la admisibilidad del proceso y hace al derecho de defensa en juicio del demandado. 
  • Razones de economía procesal exigen que el análisis del cumplimiento del requisito de representación adecuada sea realizado al comienzo del litigio. Así, por ejemplo, la existencia de un proceso colectivo impediría -en principio y bajo determinadas condiciones- que durante su transcurso tramiten otros procesos -individuales o colectivos- con objeto sustancialmente análogo. Asimismo se trata de un proceso complejo que insume tiempo y recursos diferentes a los que exige un proceso individual, entre otras características. 
  • La representación adecuada es un presupuesto para la admisibilidad formal de la acción, ya que la admisión formal de toda acción colectiva requiere la verificación de ciertos recaudos que hacen a su viabilidad y exige que, de manera previa a su inscripción, los tribunales verifiquen -entre otros- la idoneidad del representante y establezcan el procedimiento para garantizar la adecuada notificación de todas aquellas personas que pudieran tener un interés en el resultado del litigio.

CSJN: The lack of standing filed by the defendant in a class action has to be resolved as a preliminary and special ruling

On November 26, 2024 the Supreme Court of Justice (“CSJN”, after its Spanish acronym) revoked a decision of the Chamber “F” of the National Court of Appeals for Commercial Matters, indicating that the lack of standing has to be resolved as a preliminary and special ruling.

The CSJN considered that: 

  • The continuance of the class action could generate grievances whose subsequent repair would be very difficult.
  • Whether or not the representative has standing must be clarified at the beginning of the case filed.
  • The existence of a representative with standing affects the admissibility of the proceedings and the defendant's right of defense at trial.
  • Reasons of procedural economy require that the analysis of compliance with the requirement of adequate representation be carried out at the beginning of the litigation. Thus, for example, the existence of a collective proceeding would prevent -as a general rule and under certain conditions- other proceedings -individual or collective- with substantially similar subject matter from taking place during its course. It is also a complex process that requires time and resources, different from those required in an individual proceeding, among other characteristics. 
  • Adequate representation is a prerequisite for the formal admissibility of the action, since the formal admission of any collective action requires the verification of certain requirements requirements for its viability and demands that, prior to its registration, the courts verify -among others- the suitability of the representative and establish the procedure to guarantee the adequate notification of all those persons who may have an interest in the outcome of the litigation.
