Resolución General CNV 948/2023. Modificación Agentes de Depósito Colectivo. Agentes de Custodia, Registro y Pago
Con fecha 01 de marzo de 2023, la Comisión Nacional de Valores (la “CNV”), dictó la Resolución General 948/2023 (la “RG 948”), por la cual se modifica el Título VIII referente a “Agentes de Depósito Colectivo. Agentes de Custodia, Registro y Pago”, Capítulo I y II de las NORMAS (N.T. 2013 Y MOD.) (las “NORMAS”).
Entre las modificaciones, se destaca la incorporación, como Capítulo Preliminar, del Título VIII de las NORMAS las siguientes definiciones: (i) Función de Custodia: “aquella actividad por medio de la cual quien realiza la custodia se encuentra obligado a ejercer el cuidado, conservación y resguardo de los activos, valores negociables y fondos de titularidad de terceros, garantizando su correcta conservación, incluido sus derechos y derivados, al igual que un fehaciente mantenimiento de la inscripción e individualización de los derechos inherentes a los mismos y su situación jurídica.” y; (ii) Función de Registro: “aquella actividad limitada al adecuado registro, mediante anotaciones en cuenta, de los valores negociables y activos en las cuentas registro de cada titular y en las tareas de conciliación de dichos registros con la pertinente documentación respaldatoria.”
Asimismo, la RG 948 remarca que los Mercados y Cámaras Compensadoras, el Agente Depositario Central de Valores Negociables (“ADCVN”) y los Agentes de Registro y Pago (los “AryP”), deberán adecuar su actividad conforme al contenido de la RG 948 antes del 30 de junio de 2023, absteniéndose de realizar cualquier otra actividad no prevista en las disposiciones incorporadas por la citada regulación. En este sentido, las actuaciones, tanto de los Mercados como de las Cámaras Compensadoras, deberán limitarse al mercado de capitales. El ADCVN será la única categoría de agente autorizado por la CNV que actuará como depositario y tendrá a su cargo la función de custodia central de los valores negociables, de manera exclusiva. Respecto de los ARyP, serán quienes presten servicios de registro de valores negociables anotados en cuenta o escriturales, de contratos de futuros y opciones y, contratos derivados en general con negociación en Mercados autorizados por la CNV, y quienes revistan la calidad de depositantes en el ADCVN.
La RG 948 entró en vigencia el 03 de marzo de 2023.

CNV General Resolution 948/2023. Modification of Collective Deposit Agents. Custody, Registration and Payment Agent.
On March 1st, 2023, the National Securities Commission (the "CNV"), issued General Resolution 948/2023 (the "RG 948"), which amends Title VIII regarding "Collective Deposit Agents. Custody, Registration and Payment Agents", Chapter I and II of the STANDARDS (N.T. 2013 AND MOD.) (the "STANDARDS").
Among the modifications, the following definitions are included as a Preliminary Chapter of Title VIII of the STANDARDS: (i) Custody function: "the activity by means of which the custodian is obliged to exercise the care, conservation and safekeeping of assets, negotiable securities and funds owned by third parties, guaranteeing their correct conservation, including their rights and derivatives, as well as a reliable maintenance of the registration and individualization of the rights inherent to them and their legal status.” and; (ii) Registration Function: "the activity is limited to the adequate recording, by means of book entries, of negotiable securities and assets in the registration accounts of each holder and in the tasks of reconciling such records with the pertinent supporting documentation."
Likewise, RG 948 states that both the Markets and Compensating Chambers, as well as the Central Depository Agent for Negotiable Securities (“ADCVN” after its spanish acronym) and the Registration and Payment Agents (the “ARyP” after its spanish acronym) must adapt their activities to the contents of RG 948 before June 30th, 2023, and refrain from carrying out any other activity not provided in the provisions incorporated herein. In this regard, the duties of both the Markets and the Compensating Chambers must be limited to the capital market. The ADCVN will be the only category of agents authorized by the CNV that will act as depositary and will be in charge of the central custody function of the marketable securities, on an exclusive basis. Regarding the ARyP, they shall be those who provide services for the registration of book-entry or book-entry negotiable securities, futures and options contracts, and derivative contracts in general traded in markets authorized by the CNV. They will also be acting as depositors in the ADCVN.
The RG 948 became effective on March 3rd, 2023.
