La CNV actualiza el régimen de prospectos y documentos preliminares en ofertas públicas

Por medio de la Resolución General N° 1129/2026 (la “Resolución”), vigente desde el 17 de abril de 2026, la Comisión Nacional de Valores (la “CNV”) actualizó el régimen de difusión de prospectos y documentos preliminares en ofertas públicas, con el objetivo de reducir cargas operativas innecesarias.

En virtud de ello, la CNV establece la posibilidad de utilizar y distribuir documentos preliminares tanto en regímenes que requieren autorización previa, como en aquellos que no la requieren, como son los regímenes de autorización automática. 

Asimismo, la CNV prevé la obligación de presentar la documentación pertinente a través de la plataforma de Trámites a Distancia, adecuando las leyendas según el tipo de régimen específico. 

Finalmente, la Resolución dispone que deberán informarse las modificaciones entre versiones preliminares y definitivas, incluyendo los hechos relevantes. Además, la CNV establece que los documentos preliminares tendrán una validez de 20 días hábiles contados desde su fecha de emisión o última actualización, respecto de la fecha de inicio del período de colocación o de publicación del documento definitivo, lo que ocurra primero.

CNV updates the rules governing prospectuses and preliminary documents for public offerings

By means of General Resolution No. 1129/2026 (the “Resolution”), effective as of April 17, 2026, the National Securities Commission (the “CNV”) updated the rules governing the disclosure of prospectuses and preliminary documents in public offerings, with the aim of reducing unnecessary operational burdens.

Accordingly, the CNV establishes that preliminary documents may be used and distributed both under regimes that require prior authorization, and under those that do not, such as automatic authorization regimes. 

In addition, the CNV requires that all relevant documentation be submitted through the Remote Procedures Platform, with the mandatory captions tailored to the specific type of procedure involved.

Finally, the Resolution stipulates that any changes between preliminary and final versions must be disclosed, including material facts. Furthermore, the CNV provides that preliminary documents shall remain valid for 20 business days from their date of issuance or last update, relative to the start date of the offering period or the publication date of the final document, whichever occurs first.
