La CNV reglamentó el régimen de los Productos de Inversión Colectiva para los Fondos de Asistencia Laboral

Por medio de la Resolución General N° 1167/2026 (la “Resolución”), publicada en el Boletín Oficial y con entrada en vigencia el 18 de septiembre de 2026, la Comisión Nacional de Valores (la “CNV”) incorporó el Capítulo X al Título V de las Normas de la CNV para reglamentar los Productos de Inversión Colectiva que constituyen Fondos de Asistencia Laboral (“PIC FAL”). Los PIC FAL podrán constituirse como fondos comunes de inversión abiertos (“FCIA FAL”) o como fideicomisos financieros (“FF FAL”), administrados por Entidades Habilitadas (“EH”), es decir, las autorizadas por la CNV para administrarlos.

  • Entidades Habilitadas: Podrán actuar como EH los fiduciarios financieros (“FF”) y las sociedades gerentes de fondos comunes de inversión (“FCI”) inscriptos a la fecha de vigencia de la Resolución con al menos un FF o FCI vigente. Quienes no  cumplan con dicha exigencia deberán acreditar cinco  vehículos bajo administración con un monto en circulación o patrimonio agregado equivalente a UVA 10.000.000. Tratándose de fiduciarios, ninguno de estos requisitos —ni el vehículo vigente ni la alternativa de cinco vehículos— resulta exigible cuando la EH sea una entidad financiera, una entidad controlada por una entidad financiera, o una entidad controlada, directa o indirectamente, por el Estado Nacional, las provincias o la Ciudad Autónoma de Buenos Aires.
  • Cuenta Individual e ID FAL: Cada empleador contará con una Cuenta Individual, que constituye un patrimonio separado, de afectación específica, inenajenable e inembargable, sin individualización por trabajador, identificada por un ID FAL (CUIT del empleador, CBU del PIC FAL y número de registro asignado en la Autopista de Información Financiera). Los empleadores que no informen un ID FAL válido serán asignados de oficio por la CNV, según la información de la Agencia de Recaudación y Control Aduanero (ARCA) y en orden cronológico de creación de los vehículos. La recepción de esos empleadores asignados de oficio es obligatoria para las EH que se hayan ofrecido a recibirlos y no podrá rechazarse, salvo razones objetivas, fundadas y no comerciales.
  • Inversiones: Solo se admitirán inversiones en los instrumentos previstos en la Resolución N° 1276/2026 del Ministerio de Economía, con sus reglas de diversificación y liquidez.
  • Prohibiciones: Se prohíbe gravar los activos del FAL y también está prohibido al FAL adquirir valores emitidos por —o destinados a financiar— empleadores cuotapartistas o fiduciantes de dicho FAL, salvo que su participación en el fondo y la inversión en los valores emitidos por ellos no superen, cada una, el 10%. Tampoco podrá una empresa invertir en un FAL manejado por una EH en la que el empleador participe, directa o indirectamente, en más del 10% del capital de dicha EH.
  • Operatoria en mercados: Las operaciones bajo oferta pública deberán realizarse en mercados autorizados, con prioridad precio-tiempo y liquidación en 24 horas (T+1).
  • Tope de honorarios y gastos: El tope anual del 1% es global e integral, incluye IVA y comprende las contraprestaciones de la EH, la sociedad depositaria, los asesores y los comercializadores, con exclusión de comisiones y gastos transaccionales, tasas de la CNV y gastos extraordinarios.
  • Portabilidad: Los empleadores pueden cambiar de FAL. Entre EH distintas no podrá ejercerse con periodicidad menor a seis meses, con preaviso de hasta 30 días corridos y sólo en junio y diciembre (limitaciones que no aplican a la asignación de oficio).
  • Autorización: Los PIC FAL contarán con autorización automática de oferta pública, sin control previo de la CNV y bajo responsabilidad exclusiva de la EH sobre la veracidad de la documentación.
  • Publicidad: Las EH deberán publicar mensualmente en su sitio web, dentro de los primeros 10 días hábiles de cada mes, una Ficha FAL por vehículo (objetivo, patrimonio neto, cartera y rendimiento pasado neto de honorarios).
  • Formalidades: Las cuotapartes y certificados no podrán representarse digitalmente. Los FCIA FAL no usan el reglamento de gestión tipo; la EH debe elaborar uno adaptado al régimen. La sociedad depositaria no reviste el carácter de EH y conserva sus funciones conforme al régimen de FCI. Los FF FAL sólo emiten certificados de participación, sin monto máximo, y no requieren prospecto, colocación primaria, listado ni agente de control y revisión.

            Compliance y Mercado de Capitales

La CNV establece el uso exclusivo de transferencias bancarias para la recepción y entrega de fondos con clientes

Por medio de la Resolución General N° 1166/2026 (la “Resolución”), publicada en el Boletín Oficial y con entrada en vigencia el 15 de septiembre de 2026, la Comisión Nacional de Valores (la “CNV”) dispuso modificar el artículo 3 de la Sección II del Título XI de las Normas de la CNV para regular el régimen de recepción y entrega de fondos de y hacia clientes.

En virtud de la Resolución los Sujetos Obligados registrados ante la CNV deberán utilizar exclusivamente transferencias como modalidad para recibir fondos de sus clientes o realizar pagos a estos.   En tal sentido queda prohibido emplear cheques físicos o electrónicos (e Cheqs) como mecanismo de fondeo o retiro.

Además, los fondos deberán provenir o ser destinados a cuentas bancarias a la vista de titularidad o cotitularidad del cliente en entidades autorizadas por el Banco Central de la República Argentina (BCRA), o bien a cuentas de pago (CVU) vinculadas a su CUIT que permitan asegurar la trazabilidad e identificación unívoca del origen y destino del dinero.

La Resolución mantiene las reglas operativas específicas para sectores particulares (como el régimen especial agropecuario) y no afecta la negociación o descuento de cheques de pago diferido como instrumentos del mercado de capitales.

CNV regulated the Collective Investment Products Regime for Labor Assistance Funds

By means of General Resolution No. 1167/2026 (the “Resolution”), published in the Official Gazette and effective as of September 18, 2026, the National Securities Commission (the “CNV”) added Chapter X to Title V of the CNV Rules to regulate the Collective Investment Products constituting Labor Assistance Funds (“PIC FAL”). PIC FAL may be organized as open-end mutual funds (“FCIA FAL”) or as financial trusts (“FF FAL”), managed by Eligible Entities (“EH”), i.e., those authorized by the CNV to manage them.

  • Eligible Entities: Financial trustees and mutual fund management companies registered as of the effective date of the Resolution with at least one financial trustee or mutual fund in force may act as EH. Those that do not meet this requirement must instead evidence five vehicles under management with an aggregate outstanding amount or net worth equivalent to UVA 10,000,000. For financial trustees, none of these requirements —neither the vehicle in force nor the alternative vehicle requirement— applies where the EH is a financial institution, an entity controlled by a financial institution, or an entity controlled, directly or indirectly, by the Federal Government, the provinces or the City of Buenos Aires.
  • Individual Account and ID FAL: Each employer will have an Individual Account constituting a segregated, specifically allocated, non-transferable and non-attachable asset, not individualized by employee, identified by an ID FAL (the employer's Tax ID -CUIT-, the PIC FAL's CBU and a registration number assigned through the Financial Information Highway). Employers that fail to report a valid ID FAL will be assigned one ex officio by the CNV, based on Tax Collection and Customs Control Agency (ARCA)'s information and in chronological order of creation of the vehicles. Acceptance of those ex officio–assigned employers is mandatory for EH that have volunteered to receive them and may not be refused, except for objective, substantiated and non-commercial reasons.
  • Investments: Only investments in the instruments set out in Ministry of Economy Resolution No. 1276/2026 will be permitted, subject to its diversification and liquidity rules.
  • Prohibitions: Encumbering the assets of the FAL is prohibited and it is also prohibited to the FAL to acquire securities issued by —or intended to finance— employers that are unitholders or trustors in such FAL, unless neither their interest in the fund nor the investment in securities issued by them exceeds 10% respectively. A company may not invest in a FAL managed by an EH in which the employer holds, directly or indirectly, more than 10% of the capital of such EH.
  • Market operations: Publicly offered transactions must be carried out on authorized markets, with price-time priority and settlement within 24 hours (T+1).
  • Fees and expenses cap: The annual cap of 1% is global and comprehensive, includes VAT, and covers the compensation of the EH, the custodian, advisors and distributors, excluding transactional fees and expenses, CNV fees and extraordinary expenses.
  • Portability: Employers may change their FAL. Between different EH it may not be exercised more frequently than every six months, subject to prior notice of up to 30 calendar days and only during June and December (limitations that do not apply to ex officio assignments).
  • Authorization: PIC FAL will have automatic public offering authorization, without prior CNV review and under the EH's exclusive responsibility for the accuracy of the documentation.
  • Disclosure: EH must publish on their websites monthly, within the first 10 business days of each month, an FAL Fact Sheet for each vehicle (objective, net worth, portfolio and past performance net of fees).
  • Formalities: Units and participation certificates may not be digitally represented. FCIA FAL need not use the standard management regulations; the EH must draft one adapted to the regime. The custodian is not an EH and retains its own functions under the mutual fund regime. As for FF FAL, they may only issue participation certificates, with no maximum issuance amount, and require no prospectus, primary placement, listing or control and review agent.

CNV establishes the exclusive use of bank transfers for receiving and delivering funds with clients

By means of General Resolution No. 1166/2026 (the “Resolution”), published in the Official Gazette and effective as of September 15, 2026, the National Securities Commission (the “CNV”) provided the amendment to Article 3 of Section II, Title XI of the CNV Rules to regulate the regime for receiving and delivering funds from and to clients.

Pursuant to the Resolution, Obligated Entities registered with the CNV must exclusively use bank transfers as the method for receiving funds from their clients or executing payments to them. In this regard, the use of physical checks or electronic checks (eCheqs) as funding or withdrawal mechanisms is prohibited.

Besides, funds must originate from or be transferred to demand bank accounts owned or co-owned by the client at Argentine Central Bank (BCRA)-authorized institutions, or payment accounts (CVU) linked to the client's Tax ID (CUIT), provided they ensure the full traceability and unique identification of the source and destination of the funds.

The Resolution maintains the specific operational rules for particular sectors (such as the special regime for the agribusiness sector) and does not affect the trading or discounting of deferred payment checks as capital market instruments.
