La IGJ simplifica el régimen registral mercantil y flexibiliza los requisitos de constitución societaria

Mediante la Resolución General N° 11/2026 (la “Resolución”) publicada el 22 de septiembre 2026 en el Boletín Oficial, la Inspección General de Justicia (la “IGJ”) modifica el cuerpo normativo de sus Resoluciones Generales N° 15/2024 y 6/2017 de, adecuando el régimen mercantil a principios de simplificación y autonomía de la voluntad, lo que conlleva a la reducción de costos operativos y requerimientos burocráticos. La Resolución entró en vigencia el 23 de septiembre de 2026.

A continuación, se destacan los puntos principales de la Resolución:

  • Objeto social amplio: Se elimina la exigencia de conexidad, complementariedad o adecuación del capital social al objeto. El objeto social podrá conformarse por una o más categorías de actividades, y en las Sociedades por Acciones Simplificadas (SAS) se admite la fórmula de “realización de cualquier actividad lícita”.
  • Dispensa de precalificación: El dictamen de precalificación profesional para la constitución de sociedades pasa a ser optativo.
  • Integración de aportes: Se simplifica la acreditación de aportes dinerarios (admitiendo declaración jurada del representante para montos iguales o inferiores a dos Salarios Mínimos, Vitales y Móviles). Asimismo, se reglamenta la aportación de bienes registrables, muebles, títulos valores, fondos de comercio y se incorpora expresamente la factibilidad de aportar activos virtuales mediante depósito en proveedores (PSAV) registrados ante la Comisión Nacional de Valores.
  • Simplificación de trámites: Se simplifican las reglas sobre capacidad de socios y actuaciones por apoderados, registraciones de sociedades extranjeras, la constitución de sede social (admitiendo la constitución de sede electrónica en forma complementaria) y la reserva de denominación.
  • Cláusula arbitral: Se ratifica la posibilidad de incorporar cláusulas arbitrales obligatorias en los estatutos para la resolución de controversias entre la sociedad, sus socios y administradores.

IGJ simplifies the corporate registration regime and relaxes incorporation requirements

Through General Resolution No. 11/2026 (the “Resolution”) published on September 22, 2026 in the Official Gazette, the Public Registry of Commerce of the City of Buenos Aires (Inspección General de Justicia, “IGJ”) amends the regulatory framework established by its General Resolutions No. 15/2024 and 6/2017. This aligns the corporate regime with principles of simplification and freedom of contract, thereby reducing operating costs and bureaucratic requirements. The Resolution enters into force on September 23, 2026.


The key points of the Resolution are highlighted below:

  • Corporate purpose: The requirement for a connection or complementarity between activities, or for the alignment of share capital with the corporate purpose, is eliminated. The corporate purpose may consist of one or more categories of activities; for Sociedades por Acciones Simplificadas (SAS), the formula “carrying out any lawful activity” is permitted.
  • Waiver of legal opinions: The professional legal opinion required for company incorporation becomes optional.
  • Contribution of capital: The verification of cash contributions is simplified (allowing for a sworn statement by the representative for amounts equal to or less than two Minimum, Vital, and Mobile Wages). Additionally, regulations are established for the contribution of registrable assets, personal property, securities, and going concerns; the option to contribute virtual assets via deposit with providers (PSAV) registered with the National Securities Commission is expressly included.
  • Simplification of procedures: Rules regarding shareholder capacity and actions by proxies are simplified, as well as the registration of foreign companies, the establishment of the registered office (allowing for a complementary electronic address) and name reservation.
  • Arbitration clause: The possibility of including mandatory arbitration clauses in the bylaws for the resolution of disputes among the company, its shareholders, and its directors is ratified.
