Rizobacter Argentina S.A. (“Rizobacter”), a subsidiary of Bioceres Crop Solutions Corp (NASDAQ: BIOX), issued Series X senior notes (the “Series X Notes” or the “Notes”), under its Global Note Program for the issuance of notes for up to a nominal value of USD 200,000,000 (or its equivalent in other currencies or in other units of value).
The placement agents Banco de Galicia y Buenos Aires S.A.U., Banco Supervielle S.A., Banco Santander Argentina S.A., Allaria S.A., Banco Mariva S.A., PP Inversiones S.A., Invertironline S.A.U., Cocos Capital S.A., Max Capital S.A., Cohen S.A., Invertir en Bolsa S.A. and Banco de Servicios y Transacciones S.A., were advised by Pérez Alati, Grondona, Benites & Arntsen.
The Notes were issued on November 28, 2024 in two classes: (i) the Series X Class A Notes, for a nominal amount of USD 2,396,825 (U.S. Dollars two million, three hundred ninety-six thousand, eight hundred twenty-five) denominated in U.S. Dollars, to be integrated in ARS at the Initial Exchange Rate or with the Series VII Class B Notes or Series VIII Class A Notes, and payable in ARS at the Applicable Exchange Rate, at a fixed interest rate of 7.00% nominal per annum, maturing on November 28, 2026; and (ii) the Series X Class B Notes, for a nominal amount of USD 23,529,711 (U.S. Dollars twenty-three million, five hundred twenty-nine thousand, seven hundred eleven) denominated, to be subscribed, integrated and payable in U.S. Dollars, at a fixed interest rate of 8,00% nominal per annum, maturing on November 28, 2027.
