Rizobacter Argentina S.A. (“Rizobacter”), a subsidiary of Bioceres Crop Solutions Corp (NASDAQ: BIOX), issued Series IX senior notes (the “Series IX Notes” or the “Notes”), under its Global Note Program for the issuance of notes for up to a nominal value of USD 200,000,000 (or its equivalent in other currencies or in other units of value).
Rizobacter was advised by Nicholson y Cano Abogados, while the placement agents Banco de Galicia y Buenos Aires S.A.U., Max Capital S.A., Banco Supervielle S.A., Banco Santander Argentina S.A., Latin Securities S.A., Allaria S.A., Banco Mariva S.A., Cohen S.A., PP Inversiones S.A., Invertironline S.A.U. and Balanz Capital Valores S.A.U. were advised by Pérez Alati, Grondona, Benites & Arntsen.
The Notes were issued on June 28, 2024 in two classes: (i) the Series IX Class A Notes, for a nominal amount of USD 12,984,397 (U.S. dollars twelve million nine hundred and eighty-four thousand three hundred and ninety-seven) denominated in U.S. dollars, to be integrated in ARS at the Initial Exchange Rate or with the Series VI Class B Notes, Series VII Class B Notes or Series VIII Class A Notes, and payable in ARS at the Applicable Exchange Rate, at a fixed interest rate of 5.00% nominal per annum, maturing on June 28, 2026; and (ii) the Series IX Class B Notes, for a nominal amount of USD 7,015,603 (U.S. dollars seven million fifteen thousand six hundred and three) denominated in USD, to be subscribed, integrated and payable in USD, at a fixed interest rate of 7.50% nominal per annum, maturing on June 28, 2026.
