Pérez Alati, Grondona, Benites & Arntsen advised Agrofina S.A., in the role of issuer and Alchemy Valores S.A. in the role of Organizer and placement agent in the issuance of Negotiable Obligations Class X within the framework of their Global Issuance of Ordinary Negotiable Obligations Program, non convertible to stocks for a total nominal value up to U$S80.000.000 (eighty million Dollars) (or the equivalent in other currencies and/or units of value) (the “Program”).
On July 1st 2021, Agrofina S.A. successfully closed the swap offer of Negotiable Obligations Class IX and sealed the issuance of Negotiable Obligations Class X for a total amount of U$S10.966.922, which were issued on July 5th 2021, maturing on July 5th 2023. The Negotiable Obligations were assured by a Guarantee Trust, which counts on TMF Trust Company (Argentina) S.A. as trustee.
It is important to notice that the public offering of the Negotiable Obligations was performed under the regulations established by Section 36 of Negotiable Obligations Law and in accordance with Communication “A” 7272 of the Central Bank of Argentina (“BCRA”), and in particular with the refinancing through a swap operation of Negotiable Obligations Class IV, maturing on July 4th 2021, which were issued under BCRA´s Communication “A” 6792, at the sole effect of refinancing Negotiable Obligations VIII issued on November 5th 2019.
