Restablecimiento de obligaciones de las sociedades extranjeras ante IGJ


El 21 de febrero de 2020 fue publicada en el Boletín Oficial la Resolución General No. 2/2020 de la Inspección General de Justicia (en adelante, respectivamente, la “Resolución” y la “IGJ”). 

Mediante la Resolución se modificó la normativa de la IGJ aplicable a las sociedades constituidas en el extranjero y registradas por ante dicho organismo en los términos de los artículos 118 y 123 de la Ley General de Sociedades No. 19.550, derogando principalmente la Resolución General No. 6/2018 que había atenuado el régimen informativo de dichas sociedades ante el organismo de contralor, y restableciendo en todos sus términos la normativa anterior. A continuación se enumeran los aspectos más relevantes de la Resolución: 

i) a los fines de obtener la inscripción ante IGJ, las sociedades extranjeras tendrán nuevamente la obligación de acreditar actividad económica sustancial fuera de la República Argentina, y la obligación de identificar a los accionistas de dichas sociedades;

ii) en relación a las sociedades extranjeras inscriptas ante IGJ, se reincorpora la obligación de presentar los regímenes informativos anuales evidenciando el mantenimiento de actividad económica sustancial en el exterior e identificando a sus accionistas; 

iii) se suprime la posibilidad de que las sociedades extranjeras debidamente inscriptas ante IGJ puedan ser representadas por un apoderado designado directamente por la casa matriz -debiendo ser representadas únicamente por su representante legal inscripto y/o por apoderado designado por éste-, a efectos de cumplir con los actos contemplados en la Resolución y la asistencia a las asambleas de accionistas de sociedades anónimas u órganos equivalentes en los restantes tipos societarios;

iv) los representantes legales de las sociedades extranjeras deberán constituir y mantener vigente una garantía por un monto equivalente al quíntuplo del capital social mínimo establecido para las sociedades anónimas locales -actualmente fijado en la suma $100.000- por cada representante legal, hasta la cancelación de su inscripción como representantes con más un plazo adicional de tres (3) años. Los representantes de sociedades que soliciten su inscripción, y los reemplazantes de representantes cesantes, deberán acreditar la constitución de la garantía con la documentación de la respectiva solicitud, y los representantes legales en ejercicio al tiempo de la entrada en vigencia de la Resolución deberán hacerlo con la primera presentación que deba realizarse en cumplimiento del régimen informativo anual; y

v) se restablece la restricción para registrar por ante la IGJ sociedades “off shore”.

Reinstatement of obligations of foreign companies before the IGJ

On February 21, 2020, the General Resolution No. 2/2020 of the Public Registry of the City of Buenos Aires (hereinafter, respectively, the "Resolution" and the "IGJ") was published in the Official Gazette.
 
The Resolution amended the IGJ’s regulation applicable to companies incorporated abroad and registered with the IGJ under the terms of Sections 118 and 123 of the Argentine Companies Law No. 19,550, mainly repealing General Resolution No. 6/2018 which had attenuated the information regime for such companies before the IGJ, and restoring the previous regulation. The most relevant aspects of the Resolution are listed below: 

i) in order to obtain registration with the IGJ, foreign companies will once again be required to provide evidence of substantial economic activity outside the Argentine Republic, and the obligation to identify the shareholders of such companies;

ii) in connection with foreign companies already registered before the IGJ, they will be obliged to comply with the annual information regime evidencing the maintenance of substantial economic activity abroad and identifying their shareholders; 

iii) the possibility for foreign companies duly registered before the IGJ to be represented by an attorney-in-fact appointed directly by the parent company is eliminated -they must be represented only by their registered legal representative and/or by an attorney-in-fact appointed by the latter-, for the purpose of complying with the acts contemplated in the Resolution and attending the shareholders’ meetings of corporations or equivalent bodies in the remaining corporate entities;

iv) the legal representatives of foreign companies must constitute and maintain in force a guarantee for an amount equivalent to five times the minimum capital stock established for local corporations -currently amounting to AR$100,000- for each legal representative, until the date of cancellation of their registration as representatives plus an additional term of three (3) years. The legal representatives of companies requesting their registration, and the replacement of representatives who have been removed from office, must evidence the constitution of the guarantee with the documentation of the respective filing, and the legal representatives in office at the time the Resolution is passed, must do so with the first presentation that must be made in compliance with the annual information regime; and

v) the restriction to register “off-shore” companies with the IGJ is reinstated.
