IGJ moves forward with the digitalization of registry filings

General Resolution No. 5/2026 of the Public Registry of Commerce of the City of Buenos Aires (the “Resolution” and “IGJ”, respectively), effective as of June 3, 2026, established a new registry filing procedure based on the generation and delivery of a digital registration certificate.

The main provisions incorporated by the Resolution are listed below:

  • Digital registration certificate and electronic delivery: Upon registration, the original instrument will be incorporated into the administrative file and the IGJ will issue a digital registration certificate in digital format, with the registered documents embedded therein, digitally signed by the competent officer. Such certificate will constitute evidence of the registration and will be delivered to the authorized recipient through the digital platform made available by the IGJ. The document so delivered will have full legal effect pursuant to Section 11 of Law No. 25,506.
  • Elimination of copies: The requirement to submit copies set forth in Section 35 of IGJ General Resolution No. 15/2024 is waived. Accordingly, submission of the original instrument in compliance with the formalities applicable to each case will be sufficient.
  • Notification of the digital registration certificate: The certifying professional must include in the filing form the details of the authorized recipient to whom the digital registration certificate will be notified and delivered, including: name or corporate name, tax identification number (CUIT) associated with the digital platform, and an alternative e-mail address.
  • Electronic issuance of individual resolutions: Once incorporated into the implementation schedule, acts requiring individual resolutions issued by the Inspector General will be issued electronically and signed with a digital signature.
  • Implementation schedule: The new regime will be implemented gradually in accordance with the implementation schedule to be established by the IGJ and published and updated on its official website. For filings not yet incorporated into the schedule, the provisions of IGJ General Resolution No. 15/2024 will continue to apply.
