La Autoridad Nacional de la Competencia aclara el régimen aplicable a las concentraciones económicas notificadas antes del 17 de noviembre de 2026

El 18 de septiembre de 2026 el Tribunal de Defensa de la Competencia de la Autoridad Nacional de la Competencia (la “ANC”) emitió la Disposición Nº 29/2026 (la “Disposición”), por medio de la cual fijó con carácter general el régimen al que quedarán sujetas las operaciones de concentración económica aún no perfeccionadas que se notifiquen antes de la entrada en vigencia del control ex-ante.

Cabe recordar que la Ley Nº 27.442 de Defensa de la Competencia (la “LDC”) establece en su artículo 9 que las transacciones que impliquen cambio de control o adquisición de influencia sustancial, y siempre que se superen los umbrales legales, deben ser notificadas ante la ANC “para su examen previamente a la fecha del perfeccionamiento del acto o de la materialización de la toma de control, el que acaeciere primero”. No obstante, el artículo 84 de la LDC supeditó la vigencia del control previo a una condición suspensiva. Dicho artículo establece que el control previo entrará en vigencia luego de transcurrido un año desde la puesta en funcionamiento de la ANC, hecho que tuvo lugar el 17 de noviembre de 2025. Por consiguiente, el nuevo régimen comenzará a regir el 17 de noviembre de 2026.

Al respecto, en línea con el criterio propuesto por la Secretaría de Concentraciones Económicas, la Disposición establece que aquellas operaciones de concentración económica notificadas ante la ANC con anterioridad a las 00:00 horas del 17 de noviembre de 2026 quedarán sujetas al régimen no suspensivo (ex-post) del artículo 84 de la LDC, aun cuando su cierre o transferencia de control tenga lugar con posterioridad a esa fecha. En consecuencia, dichas transacciones podrán ejecutarse sin contar con la aprobación previa de la ANC.

A tales fines, la Disposición exige que la notificación debe encontrarse respaldada por un acuerdo jurídicamente vinculante entre las partes notificantes, suscripto por representantes con facultades suficientes. En consecuencia, no resultan aptos los instrumentos preliminares no vinculantes (tales como cartas de intención, memorandos de entendimiento o term sheets).

Asimismo, el TDC aclaró que la aplicación del régimen no suspensivo no implica un pronunciamiento sobre los efectos de la operación en la competencia ni limita las facultades de análisis o eventuales órdenes de desinversión de la ANC.

De esta forma, la Disposición define un régimen de transición previo a la plena entrada en vigencia del control ex-ante.

The National Antitrust Authority clarifies the regime applicable to economic concentrations notified prior to November 17, 2026

On September 18, 2026, the Antitrust Tribunal of the National Antitrust Authority (the “ANC”) issued Disposition No. 29/2026 (the “Disposition”) establishing with general applicability the regime to which economic concentration transactions that have not yet closed and are notified prior to the entry into force of ex-ante control shall be subject.

It should be recalled that Section 9 of Antitrust Law No. 27,442 (the “AL”) establishes that transactions involving a change of control or the acquisition of substantial influence -provided that the legal thresholds are met- must be notified to the ANC “for its examination prior to the date of closing of the act or the materialization of the change of control, whichever occurs first”. However, Section 84 of the AL made the entry into force of the ex-ante merger control regime subject to a precedent condition. Said section establishes that ex-ante control will enter into force one year after the ANC becomes operational, an event that took place on November 17, 2025. Consequently, the new regime will become effective on November 17, 2026.

In this regard, in line with the criteria proposed by the Secretary of Economic Concentrations, the Disposition establishes that those economic concentration transactions notified to the ANC prior to 00:00 hours on November 17, 2026, shall remain subject to the non-suspensive (ex-post) regime under Section 84 of the AL, even if their closing or transfer of control takes place after that date. Consequently, such transactions may be executed without obtaining prior approval from the ANC.

For these purposes, the Disposition requires that the notification be supported by a legally binding agreement between the notifying parties, executed by representatives with sufficient authority. Consequently, non-binding preliminary instruments (such as letters of intent, memorandums of understanding, or term sheets) are not valid for this purpose.

Furthermore, the Antitrust Tribunal clarified that the application of the non-suspensive regime does not imply a ruling on the competitive effects of the transaction, nor does it limit ANC's analysis powers or its ability to issue eventual divestment orders.

Thus, the Disposition sets forth a transitional regime prior to the full entry into force of ex-ante merger control.
