Contrato de Transporte entre ENARSA y CAMMESA por el Nuevo Gasoducto Vaca Muerta
Por medio de la Resolución N° 532/2023, la Secretaría de Energía (la “Secretaría”) aprobó el contrato para el transporte de gas natural por el Gasoducto Presidente Néstor Kirchner (“GPNK”) entre Energía Argentina Sociedad Anónima (“ENARSA” o el “Transportista”) y CAMMESA (el “Cargador”), por medio del cual CAMMESA acuerda entregar o hacer entregar a ENARSA gas natural para su transporte y ENARSA acuerda recibir, transportar y restituir gas natural a CAMMESA, o por cuenta de CAMMESA a quien ésta designe (el “Contrato”).
El Contrato tendrá una duración de treinta y cinco (35) años, a partir de las 6:00 horas del 20 de junio del año 2023 (o desde el Apto para Funcionar, lo que ocurra más tarde) hasta las 06.00 horas del 20 de junio del año 2058 (o hasta el 35° aniversario del Apto para Funcionar, lo que ocurra más tarde).
Luego, el Contrato podrá ser renovado por períodos sucesivos de un (1) año hasta que el Transportista o el Cargador manifestaran su intención de rescindirlo.
En cuanto a la cantidad diaria contratada en condición firme, ésta será de hasta 25.000.000 m3/día distribuidos de la siguiente manera:
- Hasta 11.000.000 m3/día a partir del Apto Para Funcionar del tramo del GPNK sin compresión entre Tratayén y Salliqueló y hasta el final del plazo del Contrato.
- Hasta 10.000.000 m3/día adicionales a partir del Apto Para Funcionar de las Plantas de Compresión correspondientes al tramo del GPNK entre Tratayén y Salliqueló, y hasta la puesta en marcha del tramo Salliqueló-San Jerónimo.
- Hasta 14.000.000 m3/día en reemplazo de la capacidad detallada en el inciso b) entre Tratayén y San Jerónimo, a partir del Apto Para Funcionar del tramo del GPNK entre Salliqueló y San Jerónimo.
La cantidad de gas natural en concepto de combustible retenido por el sistema de transporte del Transportista será establecida en los certificados de Apto para Funcionar que se emitan para esas capacidades.
El precio a abonar por CAMMESA por la prestación del servicio en condiciones firmes es de 1,023 U$S/m3 por mes de capacidad diaria contratada durante los primeros quince (15) años desde el inicio de la vigencia del Contrato.
Este precio incluye un cargo equivalente a 0,023 U$S/m3 por mes de capacidad diaria contratada en concepto de operación y mantenimiento del tramo del GPNK habilitado y asignado al Cargador y un cargo equivalente a 1 U$S/m3 por mes de capacidad diaria contratada en concepto de recupero de la inversión efectuada por el Transportista para la construcción del GPNK entre Tratayén y Salliqueló, lo que permitirá transportar 21.000.000 m3/día a lo largo de este tramo. Este último cargo será destinado por ENARSA a la reinversión y financiamiento de la expansión del GPNK entre Salliqueló y San Jerónimo con el objetivo de incrementar hasta el máximo posible la capacidad de transporte hasta dicho punto.
A partir del año dieciséis (16) y hasta la finalización de la vigencia del Contrato, el precio será igual al primer cargo detallado en el párrafo anterior.
El precio a aplicar a las cantidades parciales que se asignen sobre la ruta Tratayén-San Jerónimo, será establecido de manera acorde con los lineamientos que se definan en ese momento por la Autoridad de Aplicación.
El Contrato otorga a CAMMESA un derecho de prioridad para la contratación con ENARSA de la totalidad de las capacidades adicionales que aportará el Proyecto GPNK respecto de las cuales ENARSA obtenga derechos de transporte de gas natural.
A los efectos de la facturación del servicio, para cada período de un (1) mes calendario se realizará el balance mensual con el objetivo de identificar las cantidades de gas efectivamente entregadas por CAMMESA y las cantidades de gas natural efectivamente entregadas por ENARSA una vez deducidas las cantidades que en concepto de combustible y mermas retenga el Transportista.
La factura deberá ser emitida por el Transportista y pagada en pesos utilizando la forma de cálculo y aplicación del tipo de cambio establecido en la Nota S.E. N° 5305/2009 que las partes manifiestan conocer y aceptar en todos sus términos.

Transportation Contract between ENARSA and CAMMESA Using the New Vaca Muerta Natural Gas Pipeline
The Secretariat of Energy (the “Secretariat”) issued Resolution No. 532/2023 to approve the contract for the transportation of natural gas through the new Presidente Néstor Kirchner Pipeline (“GPNK”) between Energía Argentina Sociedad Anónima (“ENARSA” or the “Carrier”) and CAMMESA (the “Shipper”), whereby CAMMESA shall deliver or cause delivery of natural gas for transportation and ENARSA shall receive, transport and deliver natural gas to or on behalf of CAMMESA (the “Contract”).
The Contract will be effective for thirty-five (35) years, from the later of 6:00 am on June 20, 2023, or the date of commissioning, until the later of 06:00 am on June 20, 2058 or thirty-five (35) years from commissioning.
Thereafter, the Contract may be renewed for successive terms of one (1) year until the Carrier or the Shipper express their intention to terminate it.
The daily quantity contracted in firm condition will be up to 25,000,000 m3/day distributed as follows:
- Up to 11,000,000 m3/day from commissioning of the GPNK segment between Tratayén and Salliqueló (without compression) and until the end of the Contract term.
- Up to 10,000,000 m3/day from commissioning of the Compression Plants for the segment between Tratayén and Salliqueló, and until commissioning of the section of the GPNK between Salliqueló and San Jerónimo.
- Up to 14,000,000 m3/day in replacement of the capacity detailed in subparagraph b) between Tratayén and San Jerónimo, from commissioning of such segment.
The line-pack in the system will be established in the commissioning certificates that are issued for those capacities.
According to the Contract, the price to be paid by CAMMESA for the provision of the service under firm conditions is US$1.023/m3 per month of contracted daily capacity during the first fifteen (15) years from the start of the contract term.
This price includes a charge equivalent to U$S 0.023/m3 per month of contracted daily capacity for operation and maintenance of the section of the GPNK enabled and assigned to the Shipper and a charge equivalent to U$S 1/m3 per month of contracted daily capacity as a recovery of the investment made by the Carrier for the construction of the GPNK between Tratayén and Salliqueló, which will allow transportation of 21,000,000 m3/day along this section. This last charge will be allocated by ENARSA to the reinvestment and financing of the expansion of the GPNK between Salliqueló and San Jerónimo with the objective of increasing the transportation capacity to the maximum possible up to that point.
As from year sixteen (16) and until the end of the term of the Contract, the price will be equal to the first charge detailed in the previous paragraph.
The price to be applied to the transportation of partial quantities on the Tratayén-San Jerónimo route will be established according to the guidelines to be defined by that time by the Enforcement Authority.
The Contract grants CAMMESA a right of priority to contract with ENARSA any new capacity up to any additional capacity allocated to ENARSA in the GPNK Project.
The transportation service will be invoiced monthly on the basis of the settlement of gas quantities effectively delivered by each of CAMMESA and ENARSA net of line-pack and losses.
Payment shall be made in Argentine pesos using the exchange rate calculation and application method established in Note SE No. 5305/2009 that the parties declare to know and accept in all its terms.
