El 31 de julio de 2019 fue publicada la Resolución N° 437/19 (la “Resolución”) de la Secretaría de Energía (la “SE”), mediante la cual se convocó a licitación pública nacional e internacional (la “Licitación”) para la adjudicación (la “Adjudicación”) de una licencia para la prestación del servicio de transporte de gas natural que contempla como obligación el diseño y la construcción de un gasoducto que conecte la Subzona Neuquén con la localidad de Salliqueló (Provincia de Buenos Aires), y con las Subzonas Gran Buenos Aires y Litoral (la “Licencia”).
La Resolución se dicta en cumplimiento del Decreto de Necesidad y Urgencia Nº 465/19, mediante el cual el Presidente de la Nación instruyó a la SE a convocar la Licitación (ver “PAGBAM Energy Newsletter No.115”)
Asimismo, la Resolución aprobó el Pliego de Bases y Condiciones (el “PBC”) para la Adjudicación de la Licencia.
A continuación, se detallan los principales aspectos del PBC:
- Requisitos económicos y financieros: el oferente deberá acreditar un patrimonio de al menos USD 500 millones al cierre de su último ejercicio anual y un patrimonio promedio de USD 400 millones en los últimos dos ejercicios.
- Requisitos Técnicos: el operador designado por el oferente deberá tener experiencia en operación y mantenimiento de sistemas de transporte de gas natural por ductos de una longitud no menor a 500 kms de extensión y con un diámetro no menor a 30 pulgadas, con presión de operación no menor a 60 barg, por al menos 10 años, 5 de ellos consecutivos, en los últimos 15 años.
- Plazo: la Licencia para operar el gasoducto será por 35 años con la posibilidad de pedir una prórroga por 10 años.
Inversiones en Fases:
- Fase I: son las inversiones necesarias para poner en operación comercial el Sistema de Transporte que conecte la Subzona Neuquén (en las proximidades de la localidad de Tratayén en la Provincia del Neuquén) con la localidad de Salliqueló, en la Provincia de Buenos Aires.
- Fase II: son las inversiones necesarias para poner en operación comercial el gasoducto que se extiende desde la localidad de Salliqueló hasta las Subzonas Gran Buenos Aires y Litoral, en las proximidades de la Ciudad de San Nicolás de los Arroyos, en la Provincia de Buenos Aires.
Tarifas: A los efectos de viabilizar la inversión se fijan las siguientes pautas para establecer las tarifas:
- Durante el Régimen Especial Temporario de 17 años (“RET”) contados a partir de la suscripción de la Licencia, la remuneración del transportista y los ajustes que correspondan serán libremente negociados con los cargadores.
- Con posterioridad al RET, la remuneración del transportista y los ajustes que correspondan serán los que establezca el ENARGAS de acuerdo a lo establecido por el Título IX del Capítulo I de la Ley N° 24.076.
- Contrato con CAMMESA: El otorgamiento de la Licencia implica la aceptación de una oferta irrevocable de CAMMESA de servicio de transporte firme por una capacidad de transporte diaria de 10 millones de M3 equivalentes a 9.300kcal/m3. La Licitación será adjudicada al oferente que ofrezca el precio más bajo.. Para cubrir la capacidad de transporte remanente, se llevará a cabo un procedimiento de open season anual entre privados, donde no podrá otorgarse durante la Fase 1, mejores condiciones a eventuales cargadores que las del valor de resultante de la Licitación, que actuará como valor de referencia.
Cronograma de la licitación: La fecha de apertura de ofertas será el día 12 de septiembre de 2019, a las 11:30 horas. Ver cronograma completo.
Antecedentes:
El 10 de julio de 2019 fue publicado en el Boletín Oficial el Decreto de Necesidad y Urgencia Nº 465/2019 (el “Decreto”) a través del cual el Presidente de la Nación instruyó a la Secretaría de Gobierno de Energía (la “Secretaría”) a convocar a licitación pública nacional e internacional, a fin de adjudicar una licencia para la prestación del servicio de transporte de gas natural que contemple como obligación el diseño y la construcción de un gasoducto que conecte la Subzona Neuquén (en las proximidades de la localidad de Tratayén, Neuquén) con la localidad de Salliqueló, y la Ciudad de San Nicolás de los Arroyos, ambas ubicadas en la Provincia de Buenos Aires.
El Decreto establece que la licencia de transporte a otorgarse deberá prever un Régimen Especial Temporario (“RET”), por un plazo de 17 años contados a partir de la suscripción de la licencia, en el que regirán las siguientes pautas:
• La remuneración del transportista y los ajustes que correspondan serán libremente negociados con los cargadores
• En ningún caso los valores que surjan de la negociación serán trasladables a los cuadros tarifarios finales de los usuarios de la demanda prioritaria de gas natural.
• El pliego de la licitación establecerá la asignación parcial de la capacidad de transporte inicial en forma directa, y el resto de la capacidad se asignará mediante procedimientos abiertos.
Durante el plazo de vigencia del RET no serán aplicables las disposiciones del Título IX del Capítulo I de la Ley Nº 24.076 en tanto se opongan a las previsiones establecidas en el Decreto.
Por otra parte, el Decreto establece que el desarrollo de esta infraestructura no podrá realizarse bajo el régimen del artículo 28 de la Ley Nº 17.319 que establece el derecho de un concesionario de explotación para transportar sus propios hidrocarburos, sino que debe hacerse bajo el régimen de la Ley Nº 24.076 que regula el transporte y la distribución de gas natural que constituye un servicio público nacional.

Resolution No. 437/19 (the "Resolution") of the Energy Secretariat (the "ES"), published on the Official Gazette on July 31st, 2019, called for a national and international public tender (the "Tender") to award (the "Award") a license for the provision of natural gas transportation services including the design and construction of a natural gas pipeline connecting the Neuquén Subzone with the town of Salliqueló (Province of Buenos Aires), and with the Subzones Gran Buenos Aires and Litoral (the "License").
The Resolution is issued under Decree No. 465/19, by means of which the President instructed the ES to call for the Tender (see “PAGBAM Energy Newsletter No. 115)
The Resolution also approved the Bidding Terms (the "BT") for the Award of the License.
The main aspects of the BT are detailed below:
- Economic and financial requirements: the bidder must prove a net worth of at least USD 500 million at the end of the latest fiscal year and an average net worth of USD 400 million in the two latest fiscal years.
- Technical requirements: the operator designated by the bidder must have experience in the operation and maintenance of natural gas transportation systems through pipelines of no less than 500 km in length and with a diameter of no less than 30 inches, with operating pressure of no less than 60 barg, for at least 10 years, 5 of them being consecutive, during the last 15 years.
- Term: the License to operate the pipeline will be for 35 years with a potential extension of 10 years.
Investments in Phases:
- Phase I: Investments required for commissioning the transportation system that connects the Neuquén Subzone (near the town of Tratayén in the Province of Neuquén) with the town of Salliqueló, in the Province of Buenos Aires.
- Phase II: Investments required for commissioning the gas pipeline that extends from the town of Salliqueló to the Subzones Gran Buenos Aires and Litoral, in the nearby of the City of San Nicolás de los Arroyos, in the Province of Buenos Aires.
Rates: In order to make the investment viable, the following guidelines are established in relation to the applicable rates:
- During the Special Temporary Regime of 17 years ("RET") counted from the subscription of the License, the remuneration of the carrier and the corresponding adjustments shall be freely negotiated with the shippers.
- After the RET, the carrier's compensation and the corresponding adjustments shall be those established by the ENARGAS in accordance with the provisions of Title IX of Chapter I of Law No. 24,076.
- Agreement with CAMMESA: The granting of the License includes the acceptance of an irrevocable offer by CAMMESA for the provision of transportation services for 10 million M3 of gas equivalent to 9,300kcal/m3. The Award shall be granted to the bidder offering the lowest price. . Any remaining transport capacity shall be awarded through an annual open season procedure between private parties. During Phase 1, potential shippers shall be granted no better conditions than those resulting from the Tender, that shall become a reference value.

Background:
By means of Decree No. 465/2019 (the "Decree"), published in the Official Gazette on July 10, 2019, the President of Argentina instructed the Secretariat of Energy (the "Secretariat") to call for a national and international tender to award a license for the provision of natural gas transportation including the design and construction of a natural gas pipeline that will connect the Neuquén Subzone (near the town of Tratayén in the Province of Neuquén) with the town of Salliqueló, and the City of San Nicolás de los Arroyos, both located in the Province of Buenos Aires.
The Decree establishes that the transport license to be granted must provide a Special Temporary Regime ("RET"), for a term of 17 years counted from the subscription of the license, per the following guidelines:
- The licensee’s remuneration and the corresponding adjustments shall be freely negotiated with the shippers.
- In no case shall the values arising from the negotiation be passed through to the final tariff schedules for residential users.
- The terms and conditions of the tender shall establish a partial allocation of the initial transportation capacity directly. The remaining capacity shall be allocated through competitive bidding.
During the term of the RET, the provisions of Title IX of Chapter I of Law No. 24,076 shall not be applicable to the extent of any discrepancy with the provisions established in the Decree.
Otherwise, the Decree establishes that the development of this infrastructure may not be carried out under the regime of article 28 of Law No. 17,319 which establishes the right of an exploitation concessionaire to transport its own hydrocarbons, but under the regime of Law No. 24,076 which regulates the transportation and distribution of natural gas as a national public service.
