Pérez Alati, Grondona, Benites & Arntsen (“PAGBAM”) advised YPF S. A. (“YPF”) in the sale of a 49% participating interest in the unconventional exploitation concession Aguada del Chañar (Province of Neuquén) to Compañía General de Combustibles (“CGC”).
Our client YPF continues to generate partnerships and synergies among all industry players to accelerate the development of Vaca Muerta and turn the country into an energy exporter, while for CGC the entry into the Vaca Muerta formation represents one of the most relevant growth milestones in its history.
The transaction included an upfront payment and a commitment by CGC to pay 80.40% of the expenses, investments and capital costs attributable to YPF's percentage interest in the concession for four years.
The PAGBAM team advised YPF in the negotiation of the Farmout Agreement and the Joint Operating Agreement, as well as in the proposal, drafting and negotiation of the ancillary agreements necessary for the completion of the transaction.
