La CNV implementó la Matriz de Compatibilidades y habilitó a los Agentes Depositarios Centrales de Valores Negociables a inscribirse como Fiduciarios Financieros

Por medio de la Resolución General N° 1165/2026, publicada en el Boletín Oficial el 7 de septiembre de 2026, la Comisión Nacional de Valores (la “CNV”) implementó la Matriz de Compatibilidades entre sujetos registrados e incorporó a los Agentes Depositarios Centrales de Valores Negociables (“ADCVN”) al Registro de Fiduciarios Financieros.


La Matriz de Compatibilidades constituye una herramienta de sistematización destinada a brindar mayor claridad y previsibilidad respecto del alcance de las actividades que pueden desarrollarse en forma simultánea por los Agentes registrados, los Mercados, las Cámaras Compensadoras y demás sujetos registrados ante la CNV, identificando las relaciones de compatibilidad y los requerimientos patrimoniales y de liquidez aplicables. La Matriz no modifica ni amplía las categorías existentes ni crea nuevas categorías o subcategorías, ni altera su naturaleza, alcance o régimen jurídico -prevaleciendo las disposiciones aplicables a cada categoría en caso de diferencia o contradicción entre ellas-.

En cuanto a los ADCVN -automáticamente inscriptos como Agentes de Custodia, Registro y Pago-, se los habilita a solicitar su inscripción en el Registro de Fiduciarios Financieros, no pudiendo en tal caso inscribirse como Mercado o Cámara Compensadora. A tal fin, deberán asegurar una segregación funcional y administrativa que permita operar cada categoría como unidad de negocio autónoma e independiente, y contar con una estructura organizativa, operativa y de control acorde al tipo, complejidad y volumen de negocios que desarrollen. En materia patrimonial, el ADCVN inscripto simultáneamente como Fiduciario Financiero deberá computar la suma del patrimonio neto mínimo exigido para la categoría de ADCVN (UVA 25.500.000) más el 100% del exigido para la categoría de Fiduciario Financiero -sin resultar exigible, en tal caso, el incremento por cada actividad afín y/o complementaria- y acreditar como contrapartida líquida la sumatoria de las exigencias mínimas de liquidez requeridas para cada categoría.


La CNV reformó integralmente el régimen aplicable a los Agentes de Calificación de Riesgo

Por medio de la Resolución General N° 1164/2026, publicada en el Boletín Oficial y con entrada en vigencia el 4 de septiembre de 2026,  la Comisión Nacional de Valores (la “CNV”) sustituyó íntegramente el Título IX de las Normas de la CNV, relativo a los Agentes de Calificación de Riesgo (ACR) y a los Agentes de Calificación de Riesgo – Universidades Públicas (ACR-UP), reorganizándolo bajo un esquema de disposiciones comunes y específicas y armonizándolo con estándares internacionales.

En cuanto al proceso de calificación, se elimina la obligación de notificar anticipadamente a la CNV la celebración de las sesiones del consejo de calificación, así como la posibilidad de participación del regulador en dichas reuniones, preservando la independencia del proceso -sin perjuicio de las facultades de supervisión de la CNV mediante la recepción de las actas y los informes-. La divulgación de la calificación se centraliza en un único informe, que deberá presentarse por la Autopista de Información Financiera (“AIF”) y publicarse en el sitio web del agente dentro de los dos días hábiles de la celebración de la sesión, suprimiendo el comunicado de prensa adicional. Asimismo, se reemplaza la exigencia de cuatro informes anuales por un esquema de monitoreo continuo, con un mínimo de una calificación anual y su actualización ante hechos o circunstancias relevantes.

Las metodologías de calificación dejan de registrarse: se presentan a la CNV por la AIF, se publican en el sitio web del agente y podrán utilizarse a partir de los 10 días hábiles de su presentación, sin requerir aprobación de la CNV, reconociendo además la libertad de los agentes para definir sus propias escalas y categorías. Se delimita el objeto a las calificaciones públicas de riesgo crediticio y se habilita el desarrollo de actividades afines y complementarias (calificaciones privadas, calificaciones de riesgos no crediticios, opiniones de sustentabilidad e informes de mercado, entre otras) sin autorización previa mientras no se encuentren reglamentadas, en tanto no constituyan asesoría o estructuración a los emisores calificados ni impliquen conflictos de interés. También se flexibiliza la tercerización de funciones no esenciales -manteniendo la prohibición de delegar el análisis de riesgo, la deliberación del consejo y la emisión de la calificación- y se eleva el mandato de los miembros del consejo de calificación de dos a cinco años, con posibilidad de reelección.

Finalmente, no resultará exigible mantener la calificación obligatoria cuando el emisor tramite un concurso preventivo o un acuerdo preventivo extrajudicial -salvo previsión contractual en contrario y previa acreditación fundada ante la CNV-; se admite la instrumentación de los convenios de calificación por cualquier medio legalmente válido; se amplían las obligaciones informativas sobre los convenios celebrados con entidades del exterior y se elimina la facultad de la CNV de fijar un régimen máximo de honorarios.

CNV implemented the Compatibility Matrix and allowed Central Securities Depositary Agents to register as Financial Trustees

By means of General Resolution No. 1165/2026, published on September 7, 2026, the National Securities Commission (the “CNV”) implemented the Compatibility Matrix among registered subjects and included Central Securities Depositary Agents (“ADCVN”) in the Registry of Financial Trustees.


The Compatibility Matrix is a systematization tool aimed at providing greater clarity and predictability as to the scope of the activities that may be carried out simultaneously by registered Agents, Markets, Clearing Houses and other subjects registered with the CNV, identifying the compatibility relationships and the applicable net worth and liquidity requirements. The Matrix does not modify or expand the existing categories, nor create new categories or subcategories, nor alter their nature, scope or legal regime -the provisions applicable to each category prevailing in the event of any difference or contradiction between them-.

As regards the ADCVN -automatically registered as Custody, Registration and Payment Agents-, they are allowed to request their registration in the Registry of Financial Trustees, in which case they may not register as a Market or a Clearing House. To that end, they must ensure a functional and administrative segregation enabling each category to operate as an autonomous and independent business unit, and have an organizational, operational and control structure consistent with the type, complexity and volume of the business they carry out. In terms of net worth, an ADCVN simultaneously registered as a Financial Trustee must compute the sum of the minimum net worth required for the ADCVN category (UVA 25.500.000) plus 100% of that required for the Financial Trustee category -the increase for each ancillary and/or complementary activity not being required in such case-, and must evidence, as liquid counterpart, the aggregate of the minimum liquidity requirements applicable to each category.


CNV reformed the regime applicable to Credit Rating Agencies

By means of General Resolution No. 1164/2026, published in the Official Gazette and effective on September 4, 2026, the National Securities Commission (the “CNV”) fully replaced Title IX of the CNV Rules, governing Credit Rating Agencies (ACR) and Public University Credit Rating Agencies (ACR-UP), reorganizing it under a scheme of common and specific provisions and aligning it with international standards.

As regards the rating process, the obligation to notify the CNV in advance of the holding of the rating council's sessions is eliminated, as well as the possibility of the regulator's participation in such meetings, thereby preserving the independence of the process -without prejudice to the CNV's supervisory powers through the filing of the minutes and the reports-. Disclosure of the rating is centralized in a single report, which must be filed through the Financial Information Highway (“AIF”) and published on the agency's website within two business days of the session, dispensing with the additional press release. Likewise, the requirement of four annual reports is replaced by a scheme of continuous monitoring, with a minimum of one annual rating and its updating upon relevant facts or circumstances.

Rating methodologies are no longer registered: they are filed with the CNV through the AIF, published on the agency's website and may be used as from 10 business days after their filing, without requiring the CNV's approval, and agencies are further recognized the freedom to define their own scales and categories. The scope is confined to public credit risk ratings, and the development of ancillary and complementary activities (private ratings, non-credit risk ratings, sustainability opinions and market reports, among others) is allowed without prior authorization while they remain unregulated, provided they do not constitute advisory or structuring services to the rated issuers and do not entail conflicts of interest. The outsourcing of non-essential functions is also made more flexible -the prohibition on delegating risk analysis, the council's deliberation and the issuance of the rating being maintained- and the term of office of the rating council's members is extended from two to five years, with the possibility of re-election.

Finally, maintaining the mandatory rating will not be required where the issuer is undergoing a reorganization proceeding or an out-of-court restructuring agreement (APE) -absent a contractual provision to the contrary and subject to substantiated evidence before the CNV-; rating agreements may be executed by any legally valid means; the reporting obligations regarding agreements entered into with foreign entities are expanded; and the CNV's power to set a maximum fee regime is eliminated.
