La CNV aprueba el nuevo régimen de colocación primaria de valores negociables

Por medio de la Resolución General N° 1169/2026 (la “Resolución”), publicada en el Boletín Oficial el 23 de septiembre de 2026 y con entrada en vigencia el 24 de septiembre de 2026, la Comisión Nacional de Valores (la “CNV”) sustituyó las Secciones I a IV del Capítulo IV del Título VI de las Normas de la CNV, estableciendo un nuevo régimen para la colocación primaria de valores negociables.

A continuación se detallan los aspectos más relevantes de la Resolución:

  • Definiciones y ámbito: Se incorporan los términos “Agente Colocador Principal”, “Agente Interviniente” (todo Agente de Liquidación y Compensación o Agente de Negociación que ingrese ofertas, aun sin haber sido designado colocador), “Sujetos Intervinientes” y “Cartera Propia” (Restringida y Ampliada). El régimen alcanza a acciones, obligaciones negociables, valores fiduciarios, cuotapartes de fondos comunes de inversión cerrados y todo otro valor negociable fungible emitido en serie, con exclusión de los Valores Negociables de Emisión Individual (VNEI).
  • Mecanismos de colocación: La Resolución establece que el book building y la subasta o licitación pública deberán canalizarse exclusivamente a través de los sistemas de los Mercados. En colocaciones internacionales, los requisitos aplican al tramo local en subastas y no al book building. Asimismo, se establece que los colocadores internacionales que no actúen en el país no quedan alcanzados.
  • Criterios de adjudicación: La Resolución prevé que los documentos de oferta y el aviso de suscripción deberán describir: (i) en las subastas, las variables a licitar (precio, tasa, TIR u otra) y los parámetros para su determinación, y (ii) en el book building, los criterios cualitativos objetivos, razonablemente detallados y específicos, con sus reglas de alocación. Salvo pacto en contrario, la fijación del corte y la adjudicación corresponden al Emisor.
  • Ofertas de Cartera Propia: La Resolución establece que en subastas, las ofertas de Cartera Propia de los Agentes Colocadores sólo podrán ingresarse o modificarse hasta 30 minutos antes del cierre (las posteriores quedan condicionadas a no desplazar a otros inversores), mientras que en book building, su adjudicación queda condicionada a no desplazar a otros oferentes adjudicados al corte. Estas limitaciones no rigen para subastas ciegas, underwriting en firme descripto en el Prospecto, ni emisiones soberanas o subsoberanas.
  • Identificación del inversor: Se elimina la figura de “terceros con ID sin identificar”. Deberá consignarse el nombre y CUIT/CUIL, CDI o CIE del inversor final. las ofertas sin identificación serán rechazadas.
  • Comisiones: Se establece que solo podrán cobrarse si fueron comunicadas y cuantificadas por anticipado y si se informa al inversor la TIR resultante neta de la comisión.
  • Supervisión y régimen informativo: Los Mercados deberán otorgar a la CNV acceso directo y en tiempo real a los sistemas de colocación, con visualización íntegra del ciclo de ofertas y adjudicaciones, y remitir al cierre de cada colocación la información del nuevo Anexo I mediante el formulario “Colocaciones Primarias – Reporte No Público” de la Autopista de Información Financiera (AIF).
  • Resultado de la colocación: Se deberá publicar el mismo día del cierre un aviso, incluyendo, entre otros, el precio, tasa o TIR de corte, el monto adjudicado, las fechas relevantes y el factor de prorrateo.
  • Otros cambios: El plazo para acreditar los esfuerzos de colocación se reduce a 10 días hábiles y el monto mínimo de suscripción no podrá exceder UVA 10.000 (antes, UVA 7.500).
  • Período de transición: Los dos Mercados tendrán hasta el 31 de diciembre de 2026 para adecuar sus sistemas, y los Agentes tendrán hasta el 26 de febrero de 2027 para obtener la homologación correspondiente. Entretanto, continuará aplicándose el Criterio Interpretativo N° 102 de la CNV.

La CNV actualiza la Matriz de Compatibilidades

Por medio de la Resolución General N° 1168/2026, vigente desde el 23 de septiembre de 2026, la Comisión Nacional de Valores (la “CNV”) reemplazó la Matriz de Compatibilidades incorporada por la Resolución General CNV N° 1165/2026 (la “Matriz”).

La Matriz indica qué categorías de sujetos registrados ante la CNV pueden realizar su actividad en forma simultánea y qué requisitos de patrimonio neto mínimo y contrapartida líquida aplican a cada combinación, pero no crea categorías ni modifica los requisitos de las Normas de la CNV.

La nueva versión de la Matriz corrige el patrimonio neto mínimo del Agente de Liquidación y Compensación Integral Agroindustrial (ALyC I AGRO), precisa los requisitos aplicables a los sujetos del Título V de las Normas de la CNV (fondos comunes de inversión y fiduciarios financieros) y actualiza sus aclaraciones.

CNV approves the new primary placement regime for securities

By means of General Resolution No. 1169/2026 (the “Resolution”), published in the Official Gazette on September 23, 2026 and effective as of September 24, 2026, the National Securities Commission (the “CNV”) replaced Sections I to IV of Chapter IV of Title VI of the CNV Rules, setting forth a new regime for the primary placement of securities.

The most relevant aspects of the Resolution are detailed below:

  • Definitions and scope: The Resolution introduces the terms “Lead Placement Agent”, “Participating Agent” (any Clearing and Settlement Agent or Negotiation Agent that submits orders, even if it has not been appointed as placement agent), “Participating Parties”, and “Proprietary Portfolio” (Restricted and Expanded). The regime applies to shares, negotiable obligations, trust securities, units of closed-end mutual funds, and any other fungible security issued in series, excluding Individually Issued Securities (VNEI).
  • Placement mechanisms: The Resolution provides that book building and public auction or tender processes must be conducted exclusively through the Markets' systems. In international offerings, the requirements apply to the local tranche in auctions but not to book building. Additionally, international placement agents that do not operate in Argentina are not subject to the regime.
  • Allocation criteria: The Resolution requires the offering documents and the subscription notice to describe (i) in auctions, the variables to be bid (price, rate, IRR, or other) and the parameters for their determination, and (ii) in book building, objective qualitative criteria, reasonably detailed and specific, together with their allocation rules. Unless otherwise agreed, setting the cut-off and allocating the securities is the Issuer's responsibility.
  • Proprietary Portfolio orders: The Resolution established that in auctions, Proprietary Portfolio orders from Placement Agents may only be submitted or modified up to 30 minutes before the close (later orders are subject to the condition that they do not displace other investors), while in book building, their allocation is subject to the condition that they do not displace other bidders allocated at the cut-off. These restrictions do not apply to blind auctions, firm commitment underwriting described in the Prospectus, or sovereign or sub-sovereign issuances.
  • Investor identification: The category of “ID-unidentified third parties” is eliminated. The name and CUIT/CUIL, CDI, or CIE of the final investor must be stated. Orders without identification will be rejected.
  • Fees: Fees may only be charged if they were disclosed and quantified in advance and the investor is informed of the resulting IRR net of such fee.
  • Supervision and reporting regime: The Markets must grant the CNV direct, real-time access to their placement systems, with full visibility of the order and allocation cycle, and, upon the close of each placement, submit the information set forth in the new Annex I through the “Primary Placements – Non-Public Report” form of the Financial Information Highway (AIF).
  • Placement results: A notice must be published on the closing date, including, among other things, the cut-off price, rate, or IRR, the amount allocated, the relevant dates, and the proration factor.
  • Other changes: The period for evidencing placement efforts is reduced to 10 business days, and the minimum subscription amount may not exceed UVA 10,000 (previously UVA 7,500).
  • Transition period: The two Markets have until December 31, 2026 to adapt their systems, and Agents have until February 26, 2027 to obtain the corresponding approval. In the meantime, CNV Interpretive Criterion No. 102 will continue to apply.

CNV updates the Compatibility Matrix

By means of General Resolution No. 1168/2026, effective as of September 23, 2026, the National Securities Commission (the “CNV”) replaced the Compatibility Matrix introduced by CNV General Resolution No. 1165/2026 (the “Matrix”).

The Matrix sets out which categories of entities registered with the CNV may be held simultaneously and the minimum net worth and liquid counterpart requirements applicable to each combination. It does not create categories or modify the requirements of the CNV Rules.

The new version corrects the minimum net worth of the Comprehensive Agro-Industrial Clearing and Settlement Agent (ALyC I AGRO) category, clarifies the requirements applicable to entities under Title V of the CNV Rules (mutual funds and financial trustees) and updates its clarifications.
