The CNV expands open-end mutual funds' investment in closed-end credit funds and ETFs
On November 5, 2026, General Resolution No. 1177/2026 (the “Resolution”) was published in the Official Gazette, effective as from November 6, 2026, by means of which the National Securities Commission (the “CNV”) expanded the investment guidelines of open-end mutual funds (“OEMFs”).
First, OEMFs may invest up to 20% of their net assets (previously 5%) in units of Closed-End Credit Mutual Funds managed by another management company, provided they have an AA national-scale rating and a maturity of up to two years, extendable for an equal term. Investment in other closed-end funds remains capped at 5%, with an aggregate cap of 20%.
In addition, OEMFs may invest up to 25% of their net assets in units of OEMF ETFs managed by another management company. In such case, the management and custody fees of the OEMF ETF may not exceed 30% of the fees of the investing OEMF, and the management company must inform its unitholders of the applicable fee and expense regime.
CNV submits to public consultation a draft amendment to the financial trusts regime
On November 5, 2026, General Resolution No. 1176/2026 (the “Resolution”) was published in the Official Gazette, effective as from November 7, 2026, by means of which the National Securities Commission (the “CNV”) submitted to the Participatory Rulemaking procedure a draft amendment to Chapter IV of Title V (Financial Trusts) and Chapter IV of Title VI (Primary Placement) of the Norms (Restated Text 2013, as amended).
Below are the main aspects of the draft submitted for consultation:
- Direct and indirect investment funds: Financial trusts (“FTs”) structured as direct investment funds (which finance or develop a project directly with the trust assets) and as indirect investment funds (which do so through a vehicle or entity) are defined. They must include a legend stating that they are not mutual funds, and both must file quarterly financial statements.
- Disclosure on the investee vehicle: FTs whose assets consist of interests in vehicles, entities or projects must disclose in the prospectus, among other aspects, the percentage held, the economic and political rights, the control structure, the risks, the valuation criteria and potential conflicts of interest.
- Expanded Medium Impact: Direct and indirect investment funds, currently excluded, may access this automatic authorization regime when the primary and secondary offering is directed exclusively to Qualified Investors.
- Risk rating: When there is an initial rating, the report must be available and incorporated into the issuance documentation at the beginning of the dissemination period, under all regimes.
- Exchange or in-kind subscription: In line with the corporate bonds regime, publicly offered trust securities may be subscribed through the exchange or delivery of privately issued instruments, provided their holders do not receive more than 30% of the amount placed of the relevant class and the remainder is subscribed within the public offering.
Interested parties may submit comments and proposals through the CNV website within 15 business days as from the effective date of the Resolution.
CNV reorganize and simplify the regime for filing information through the AIF
By means of General Resolution No. 1174/2026, effective as from October 30, 2026, the National Securities Commission (the “CNV”) fully replaced Title XV of the CNV Rules, governing the Financial Information Highway (“AIF”).
The new Title is reorganized into three chapters —general regime applicable to supervised entities, Financial Trusts (“FT”) and Issuers of Negotiable Obligations— and separately identifies the forms that each category of supervised entity must file through the AIF. Likewise, the list of entities covered —which includes, among others, Virtual Asset Service Providers and entities subject to Anti-Money Laundering, Counter-Terrorist Financing, and Counter-Proliferation Financing of Weapons of Mass Destruction obligations— is adapted, the names of the forms are updated, and the requirements established for Guarantee Entities are eliminated.
As regards access to the AIF, the operator access key no longer requires processing through Remote Procedure Platform (TAD): entities applying for admission to the CNV's supervisory regime will receive an e-mail to create the first operator, and additional operators must be requested through the AIF's SOLOP01 form. As for the signatory credential, certification by a notary public is eliminated, and the signature will be enabled within two business days of receipt of the complete request.
Furthermore, most of the provisions of Interpretative Criterion No. 46 on information to be filed through the AIF are incorporated into the Norms, and such Criterion is rendered ineffective. Among other matters, documentation attached to filings or requests made through the AIF forms must be filed in Word, Excel, CSV, TXT or PDF format allowing its content to be read, edited and processed, and documents filed exclusively as images will not be admitted.
Finally, filing deadlines extend until midnight of the due date, with a grace period between 10:00 a.m. and 12:00 p.m. of the following business day (which does not apply to the disclosure of Material Facts), and notices sent by the CNV to the electronic domicile registered in the AIF will be binding.
CNV exceptionally extended the deadline for filing annual and interim financial statements
By means of General Resolution No. 1175/2026, the National Securities Commission (the “CNV”) incorporated Chapter XIX into Title XVIII of the CNV Rules, governing Transitory Provisions.
By means of such Chapter, the deadlines for filing (i) the annual financial statements for the fiscal year ended August 31, 2026, originally due on November 9, 2026; and (ii) the interim financial statements or accounting certifications for the quarter ended September 30, 2026, originally due on November 11, 2026, are extended, on an exceptional and one-time basis, until November 13, 2026, inclusive. The extension covers all documents and information that must be filed together with, and as a complement to, such financial statements. The extension applies to all entities supervised by the CNV required to file such financial statements, such as issuers, agents, markets, clearing houses and collective investment products (mutual funds and financial trusts).
The measure is grounded on the holidays established by Emergency Decree No. 1103/2026 on the occasion of the official visit to the country of His Holiness Pope Leo XIV —November 9, throughout the national territory, November 10, in the City of Buenos Aires and the Province of Córdoba, and November 11, in the Province of Buenos Aires—, which reduce the business days available for supervised entities, their external auditors and other professionals involved to comply with their filing obligations.
