Resolución General IGJ Nº 34/2020. Diversidad de género en la composición de los órganos de administración y fiscalización de asociaciones civiles, simples asociaciones, ciertas sociedades anónimas, fundaciones y sociedades del estado

El 5 de agosto de 2020 fue publicada en el Boletín Oficial y entró en vigencia la Resolución General Nº 34/2020 de la Inspección General de Justicia (en adelante, respectivamente, la “Resolución” y la “IGJ”). Por medio de la Resolución dicho organismo estableció el requisito de una composición del órgano de administración y, en su caso, en el órgano de fiscalización que respete la diversidad de género. Este requisito es de aplicación para las asociaciones civiles; las simples asociaciones; las fundaciones con un consejo de administración de integración temporaria y electiva; las Sociedades del Estado (Ley N° 20.705); y las sociedades anónimas de economía mixta o comprendidas en la Sección VI de la Ley General de Sociedades, que realizan operaciones de capitalización, ahorro o en cualquier forma requieran dinero o valores al público con promesas de prestaciones o beneficios futuros; que explotan concesiones o servicios públicos; o que son controlantes de o controladas por otra sociedad referida previamente (las “Personas Jurídicas Alcanzadas”). 
 
Conforme a la Resolución, los órganos de administración y, en su caso, de fiscalización de las Personas Jurídicas Alcanzadas deberán estar integrados por la misma cantidad de miembros femeninos que masculinos. Cuando la cantidad de miembros a cubrir fuera de número impar, el órgano deberá integrarse con un mínimo de un tercio de miembros femeninos.
 
Este requisito deberá ser observado por las Personas Jurídicas Alcanzadas (i) al momento de solicitar su inscripción por ante IGJ; y/o (ii) en cada renovación de sus autoridades (en el caso que esas personas ya estuvieran inscriptas ante IGJ a la fecha de entrada en vigencia de la Resolución).
 
Asimismo se establece que la IGJ podrá, a través del dictado de resoluciones fundadas y ante un pedido expreso al respecto, exceptuar de lo previsto en la presente Resolución a la persona jurídica que así lo requiera.
 
Finalmente se exige que la Memoria a los Estados Contables contenga una descripción de la política de género aplicada en relación al órgano de administración.

General Resolution IGJ No. 34/2020. Gender diversity in the composition of management bodies and surveillance committees of civil associations, simple associations, certain corporations, foundations and state companies

On August 5th, 2020, the General Resolution No. 34/2020 of the Superintendency of Corporations of the City of Buenos Aires (hereinafter, respectively, the "Resolution" and the "IGJ") was published on the Official Gazette and came into force. The Resolution established composition requirements for the management body, and, when applicable, to the surveillance committees that respect gender diversity. This requirement applies to civil associations; simple associations; foundations with temporary and elective management board; State-Owned Companies (Law No. 20,705); and semi-public corporations or those comprised in Section VI of the General Corporations Law No. 19,550, corporations engaged in capitalization or savings operations or that in any other manner request money or securities from the public with the promise of future services or benefits; corporations that operate concessions or public services; or that are controlling or controlled by other company previously referred (the “Included Legal Entities”).
 
According to the Resolution, management bodies and, when applicable, surveillance committees of the Included Legal Entities, shall be composed by the same number of female and male members. In case of odd number of members to be appointed, the body shall be composed of a third part of female members.
 
This requirement shall be met by Reached Legal Entities (i) at the time of requesting registration with IGJ; and/or (ii) at the time of appointing authorities, (in case of legal entities already registered with IGJ at the date the Resolution comes into force.
 
It is also provided that the IGJ may, through a specific resolution and as a result of express request, exempt from the requirement set forth in this Resolution the requiring legal entity.
 
Finally, it is stated that the Annual Report to the Financial Statements, shall include a description of the gender policy related to the management body.
