Resolución General Nº 6/2021 de la Inspección General de Justicia. Celebración a distancia de reuniones de asociaciones civiles
El 30 de abril de 2021 se publicó en el Boletín Oficial y entró en vigencia la Resolución General N° 6/2021 de la Inspección General de Justicia (en adelante, la “Resolución” y la “IGJ”, respectivamente).
La Resolución dispone que, mientras duren las restricciones a la circulación y/o reunión de personas dispuestas por el Estado Nacional a través del dictado de normativa de emergencia sanitaria:
(i) Las asociaciones civiles que no puedan realizar las reuniones sociales en forma presencial con motivo de la normativa de emergencia sanitaria podrán realizarlas mediante la modalidad a distancia, en estricto cumplimiento de los requisitos establecidos en la Resolución General N° 11/2020 IGJ. A tal efecto se habilita la votación nominal, incluso para aquellas entidades que tengan consagrado el voto secreto en su estatuto social.
En las asociaciones civiles que tengan consagrado el voto secreto en su estatuto, la reglamentación del proceso eleccionario deberá ser resuelta por la Junta Electoral -si la hubiera- o en su defecto por el órgano de administración. El reglamento deberá:
- Garantizar la transparencia del proceso y el libre acceso y participación de todos los asociados, de la IGJ y del órgano de fiscalización, y
- Ser publicado en la página web de la asociación civil -en caso de contar con ella- dentro de los 3 días de ser aprobado.
(ii) Todas las asociaciones civiles podrán elegir a sus autoridades mediante el voto por correspondencia, aun cuando no tengan prevista esta modalidad de votación en su estatuto social.
La Junta Electoral, o en su caso el órgano de administración, aprobará el procedimiento para posibilitar el voto por correspondencia, el cual deberá ajustarse a las pautas mínimas que se fijan en el Anexo I de la Resolución.
Resolución General Nº 7/2021 de la Inspección General de Justicia. Prórroga del plazo del Plan de Regularización de Asociaciones Civiles
El 30 de abril de 2021 se publicó en el Boletín Oficial y entró en vigencia la Resolución General N° 7/2021 de la Inspección General de Justicia (en adelante, la “Resolución” y la “IGJ”, respectivamente).
La Resolución prorroga el plazo del Plan de Regularización de Asociaciones Civiles establecido por la Resolución General N° 37/2020 IGJ hasta el 30 de abril de 2022.
Se establece que podrán adherirse al Plan de Regularización aquellas entidades comprendidas en el artículo 3 de la Resolución General N° 37/2020 IGJ que adeuden la presentación de (i) dos o más estados contables, o (ii) uno o más estados contables y/o la inscripción de autoridades y/o sede social (las “Entidades”).
Las Entidades también podrán actualizar la sede social cumpliendo con los recaudos previstos en el artículo 396 inciso 2 de la Resolución General Nº 07/2015 IGJ.

General Resolution No. 6/2021 of the Public Registry of the City of Buenos Aires. Remote holding of meetings of civil associations
On April 30, 2021, the General Resolution No. 6/2021 of the Public Registry of the City of Buenos Aires (hereinafter, the “Resolution” and the “IGJ”, respectively) was published in the Official Gazette and came into force.
The Resolution establishes that, while the restrictions on movement and/or meetings ordered by the National Government are in force
(i) Civil associations that are unable to hold their meetings in person due to the health emergency regulations may hold them remotely, in strict compliance with the requirements set forth in General Resolution No. 11/2020 IGJ. For this purpose, a roll-call vote is enabled, even for those entities that have secret voting established in their bylaws.
In civil associations whose by-laws provide for secret voting, the regulation of the election process shall be resolved by the Electoral Board -if any- or, in its absence, by the administrative body. The regulation shall:
- Guarantee the transparency of the election process and the free access and participation of all associate members, the IGJ and the audit body, and
- Be published on the website of the civil association -if it has one- within 3 days of its approval.
(ii) All civil associations are allowed to elect their authorities by postal vote, even if this method of voting is not provided for in their bylaws.
The Electoral Board or the administrative body, as the case may be, shall approve the procedure to enable voting by correspondence, which shall comply with the minimum guidelines set forth in Annex I of the Resolution.
General Resolution No. 7/2021 of the Public Registry of the City of Buenos Aires. Extension of the deadline for the Regularization Plan for Civil Associations
On April 30, 2021, the General Resolution No. 7/2021 of the Public Registry of the City of Buenos Aires (hereinafter, the “Resolution” and the “IGJ”, respectively) was published in the Official Gazette and came into force.
The Resolution extends the term of the Regularization Plan for Civil Associations established by General Resolution No. 37/2020 IGJ, until April 30, 2022.
The Resolution establishes that those entities included in Section 3 of General Resolution No. 37/2020 IGJ that owe (i) the filing of two or more financial statements, or (ii) the filing of one or more financial statements and/or the authorities and/or legal domicile registrations (the “Entities”), may adhere to the Regularization Plan.
These Entities may also register their legal domicile by complying with the requirements set forth in Section 396 paragraph 2 of General Resolution No. 07/2015 IGJ.
