La CNV amplía las excepciones al concepto de Sujeto Restringido
Por medio de la Resolución General N° 1154/2026 (la “Resolución”), vigente desde el 13 de julio de 2026, la Comisión Nacional de Valores (la “CNV”) sustituyó el artículo 2 de la Sección II del Capítulo II del Título I de las Normas de la CNV (N.T. 2013 y mod.) (las “Normas CNV”), ampliando las excepciones al término definido "Sujeto Restringido".
“Sujeto Restringido” es la categoría creada por la CNV para identificar a entidades públicas (nacionales, provinciales o municipales) y a cajas u organismos que administran fondos previsionales obligatorios no estatales, sobre cuyas operaciones en el mercado de capitales corresponde exigir condiciones especiales de negociación que garanticen transparencia y condiciones de mercado.
Mediante la Resolución quedan exceptuados de dicha definición el Tesoro Nacional, el Fondo de Garantía de Sustentabilidad y las sociedades anónimas con participación estatal mayoritaria cuyas acciones se negocien en Mercados bajo competencia de la CNV, incluidas sus sociedades controladas, directa o indirectamente.
Asimismo, se excluyen las sociedades controladas, directa o indirectamente, por entidades financieras regidas por la Ley de Entidades Financieras, en la medida en que se encuentren sujetas a regímenes regulatorios especiales y su actividad principal consista en la prestación de servicios financieros, tales como la administración profesional de patrimonios, o servicios bursátiles, fiduciarios, de seguros o reaseguros, leasing y de gestión de pagos, entre otros, desarrollados en mercados abiertos y competitivos.
Por otra parte, la Resolución sustituyó el artículo 2 de la Sección II del Capítulo V del Título VI de las Normas CNV, precisando los requisitos relativos al volumen nominal total operado diario por especie y los límites que los Agentes deberán observar y constatar, por Sujeto Restringido, en forma previa a dar curso a sus operaciones, e incorporó una norma transitoria que exceptúa de dichos límites a los valores negociables en cartera adquiridos con anterioridad a la entrada en vigencia de la Resolución.
La CNV amplía las facultades delegadas en la Gerencia de Agentes y Mercados y en la Subgerencia de Registro
Por medio de la Resolución General N° 1155/2026, vigente a partir del 14 de julio de 2026, la Comisión Nacional de Valores (la “CNV”) sustituyó el Anexo V del Capítulo II del Título XVI de las Normas de la CNV (N.T. 2013 y mod.), ampliando el esquema de delegación interna de facultades a favor de la Gerencia de Agentes y Mercados y de la Subgerencia de Registro.
La medida responde a razones de índole operativa, con el objetivo de dotar de mayor celeridad y eficiencia a los trámites vinculados con el Registro de los Agentes de Custodia, Registro y Pago (“ACD”) y de los Agentes de Custodia, Registro y Pago Integrales (“ACDI”).
En tal sentido, se delegó en la Gerencia de Agentes y Mercados y en la Subgerencia de Registro la autorización de los siguientes trámites: (i) la inscripción en el Registro de Agentes como ACD y ACDI, y (ii) la cancelación de la inscripción de dichos Agentes en el registro que lleva la CNV. Estas facultades se suman a las ya delegadas en dichos órganos respecto de los Agentes Productores, de otorgar la autorización para la inscripción, cancelación de inscripción y toma de nota del cambio de denominación.

CNV expands the exceptions to the definition of Restricted Entity
By means of Resolution No. 1154/2026 (the “Resolution”), effective as of July 13, 2026, the National Securities Commission (the “CNV”) replaced Article 2 of Section II of Chapter II of Title I of the CNV Rules (N.T. 2013, as amended) (the “CNV Rules”), expanding the exceptions to the defined term “Restricted Entity”.
“Restricted Entity” is the category created by the CNV to identify public entities (national, provincial, or municipal) and funds or agencies that administer non-governmental mandatory pension funds, whose operations in the capital markets are subject to special trading conditions designed to ensure transparency and market conditions.
Under the Resolution, the National Treasury, the Sustainability Guarantee Fund, and corporations with majority state ownership whose shares are traded on markets under the jurisdiction of the CNV, including their directly or indirectly controlled subsidiaries—are exempt from this definition.
Likewise, companies controlled, directly or indirectly, by financial institutions governed by the Financial Institutions Law, to the extent that they are subject to special regulatory regimes and their primary activity consists of providing financial services, such as professional asset management, or securities, trust, insurance, or reinsurance services, leasing, and payment processing, among others, carried out in open and competitive markets.
Furthermore, the Resolution replaced Article 2 of Section II of Chapter V of Title VI of the CNV Rules, specifying the requirements regarding the total nominal volume traded daily by security type and the limits that Agents must observe and verify, by Restricted Party, prior to processing their transactions, and incorporated a transitional provision that exempts from those limits marketable securities held in portfolio that were acquired prior to the Resolution’s effective date.
CNV is expanding the delegated powers of the Agents and Markets Division and the Registration Subdivision
By means of Resolution No. 1155/2026, effective as of July 14, 2026, the National Securities Commission (the “CNV”) replaced Annex V of Chapter II of Title XVI of the CNV Rules (N.T. 2013, as amended), expanding the framework for the internal delegation of authority to the Agents and Markets Division and the Registration Subdivision.
This measure is driven by operational considerations, with the aim of streamlining and increasing the efficiency of procedures related to the Registry of Custody, Registration, and Payment Agents (“ACD”) and Comprehensive Custody, Registration, and Payment Agents (“ACDI”).
Accordingly, the authority to authorize the following procedures was delegated to the Agents and Markets Division and the Registration Subdivision: (i) registration in the Registry of Agents as ACDs and ACDIs, and (ii) cancellation of the registration of such Agents in the registry maintained by the CNV. These powers are in addition to those already delegated to these bodies with respect to Producer Agents, namely the authority to grant authorization for registration, cancellation of registration, and acknowledgment of a change of name.
